Acquiring Company definition

Acquiring Company means a person who obtains Control of the Company;
Acquiring Company means the resulting or surviving corporation, or the company issuing cash or securities (or its ultimate parent company), in a merger, consolidation, tender offer or share exchange involving the Company, or the successor corporation to the Company (whether in any such transaction or otherwise).
Acquiring Company means each entity listed in the column entitled “Acquiring Company” on Exhibit A.

Examples of Acquiring Company in a sentence

  • The Transferring Company declares that it has disclosed the transactions conducted after the Effective Date of the Merger correctly and in full to the Acquiring Company.

  • The Acquiring Company has inspected the Transferring Company’s books and obtained information on the transactions conducted by the Transferring Company after the Effective Date of the Merger.

  • The Administering Agency shall approve and be a party to the Assumption Agreement, along with the Company, the Development Authority and the Acquiring Company.

  • In lieu of executing an Assumption Agreement, the Company or Acquiring Company may elect to make the Repayment Amount to the Administering Agency.
