Mesa Air Group, Inc., a Nevada corporation (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to the several Underwriters named in Schedule I hereto (the “Underwriters”), an aggregate of [•] shares of its common stock, no par value per share (the “Common Stock”). This CODE SHARE AND REVENUE SHARING AGREEMENT (the “Agreement”) is made and entered into as of March 20, 2001, to be effective retroactive to February 1, 2001 (the “Contract Date”), by and between AMERICA WEST AIRLINES, INC., a Delaware corporation (“AWA”), and MESA AIRLINES, INC., a Nevada corporation (“Mesa”).
