SECOND AMENDED AND RESTATED FIVE-YEAR SENIOR CREDIT AGREEMENT (this “Agreement”), dated as of April 24, 2024, among (1) TYCO ELECTRONICS GROUP S.A., a Luxembourg public limited liability company (société anonyme) having its registered office at 46 Place Guillaume II, L-1648 Luxembourg and registered with the Luxembourg trade and companies register (Registre de commerce et des sociétés, Luxembourg) under number B.123549 (the “Borrower”), (2) TE CONNECTIVITY LTD., a Switzerland company (“TEL”, which, upon the occurrence of the Permitted Reorganization Effective Date, will be succeeded by merger by, TE CONNECTIVITY PLC, an Irish public limited company (“TopCo”)), (3) on and after the occurrence of the Permitted Reorganization Effective Date, TE CONNECTIVITY SWITZERLAND LTD., a Swiss corporation and a direct subsidiary of TopCo (“New TEL” or the “Intermediate Guarantor”), (4) the LENDERS party hereto and (5) BANK OF AMERICA, N.A., as Administrative Agent.
