AMENDED AND RESTATED CREDIT AGREEMENT, dated as of December 9, 2010 (as the same may be amended, supplemented or otherwise modified from time to time after the date hereof, this “Amended Agreement”), among BE AEROSPACE, INC., a Delaware corporation (the “Company”), the several Lenders from time to time parties hereto, JPMORGAN CHASE BANK, N.A., as administrative agent for the Lenders, UBS SECURITIES LLC and CREDIT SUISSE SECURITIES (USA) LLC, as syndication agents for the Lenders, and THE ROYAL BANK OF SCOTLAND PLC, SUNTRUST BANK and WELLS FARGO BANK, N.A., as documentation agents for the Lenders.
