EQUITY CONTRIBUTION AGREEMENT, dated as of December 7, 2010 (this “Agreement”), by and among BERMASE LLC, a Delaware limited liability company (“BERMASE”), AVON ROAD BERMASE I LLC, a Delaware limited liability company (“AVON I”), AVON ROAD BERMASE II LLC, a Delaware limited liability company (“AVON II”), JAF-NH, LLC, a Delaware limited liability company (“JAF-NH” and collectively with AVON I and AVON II, each a “Seller” and collectively, the “Sellers”), and GLOBAL PARI-MUTUEL SERVICES, INC., a Nevada corporation (“Buyer”).
