THIS AMENDED AND RESTATED CREDIT AGREEMENT, dated as of June 28, 2005, is entered into by and among: (1) CHIQUITA BRANDS L.L.C., a Delaware limited liability company (the “Borrower”); (2) CHIQUITA BRANDS INTERNATIONAL, INC., a New Jersey corporation (“Holdings” or “CBII”); (3) each of the banks, financial institutions and other institutional lenders listed on the signature pages hereof (collectively, the “Initial Lenders”); (4) WACHOVIA BANK, NATIONAL ASSOCIATION (“Wachovia Bank”), a national banking association, as Administrative Agent (as defined below), as Swing Line Lender (as defined below), and as an L/C Issuer (as defined below); (5) WELLS FARGO BANK, NATIONAL ASSOCIATION (“Wells Fargo”), as an L/C Issuer; (6) MORGAN STANLEY SENIOR FUNDING, INC.
