This LOAN AND SECURITY AGREEMENT, dated as of April 8, 2016 (this “Loan Agreement”), is entered into by and among VITALPET FRANCHISING LLC, a Delaware limited liability company (“VitalPet Franchising”), TVET MANAGEMENT LLC, a Texas limited liability company (“TVET Management”), and TVET OPERATING PLLC, a Texas professional limited liability company (“TVET Operating” together with VitalPet Franchising and TVET Management, jointly and severally, each a “Borrower” and collectively, the “Borrowers”), and VETERINARY CARE INC., a Delaware corporation (“VCI,” together with the Borrowers, each a “Loan Party” and collectively, the “Loan Parties”), and ESCALATE CAPITAL PARTNERS SBIC III, LP, a Delaware limited partnership (“Lender”). All capitalized terms used herein and not otherwise defined shall have the meanings provided in Section 13 hereof.
