This Base Prospectus replaces and supersedes the Base Prospectus of the Issuers dated 26 July 2022. This Base Prospectus has been approved by the Financial Conduct Authority (“FCA”), as competent authority under Regulation (EU) 2017/1129 as it forms part of the domestic law of the United Kingdom by virtue of the European Union (Withdrawal) Act 2018 (as amended, the “UK Prospectus Regulation”) for the purpose of giving information with regard to the issue of Notes under the Programme described in this Base Prospectus during the period of 12 months from the date of approval of this Base Prospectus.
