CONSULTING AGREEMENT AND OPTION AND REGISTRATION RIGHTS AGREEMENT AGREEMENT, dated January 2, 1996, by and between DAVID COWHERD (the "Holder") and AUTOMOBILE PROTECTION CORPORATION - APCO (the "Company").
