Vendors and Customers. (a) Schedule 3.23(a) sets forth a list of the vendors that are parties to the Vendor Contracts. No such vendor has expressed in writing or, to the Knowledge of the Company, verbally to the Company or any of its Subsidiaries its intention to cancel or otherwise terminate or materially reduce or modify its relationship with the Company or any of its Subsidiaries.

Vendors and Customers. (a) Section 4.29(a) of the Company Disclosure Letter sets forth, as of the date of this Agreement, the top ten (10) vendors based on the aggregate Dollar value of the Company’s and its Subsidiaries’ transaction volume with such counterparty during the trailing twelve months for the period ending December 31, 2021 (the “Top Vendors”).

No such Top Customer or Top Vendor has (a) canceled or otherwise terminated, or, to the Company’s knowledge, threatened or indicated in writing, or to the Company’s knowledge otherwise, an intent to cancel or terminate, its relationship with the Company or any of its Subsidiaries, (b) decreased materially or, to the Company’s knowledge, threatened or indicated in writing, or to the Company’s knowledge otherwise, an intent to decrease materially its business with the Company or any of its Subsidiaries, and (c) provided written or, to the Company’s knowledge, other notice of non-renewal or indicated an intent to materially adjust the terms of any applicable Contract, or the Company’s knowledge, intends to provide notice of non-renewal or intent to materially adjust the terms of any applicable Contract.

Vendors and Customers. Schedule 4.20(a) sets forth a list of the fifteen (15) largest vendors or suppliers of the Purchased Company during the twelve (12) month period ended on January 31, 2022 (the “Top Fifteen Vendors”) as measured by the aggregate amount spent by the Purchased Company on such Top Fifteen Vendors during the twelve (12) month period ended on January 31, 2022. Schedule 4.20(b) sets forth a list of the fifteen (15) largest customers of the Purchased Company during the twelve (12) month period ended on January 31, 2022 (the “Top Fifteen Customers”) as measured by the aggregate amount spent by the Purchased Company on such Top Fifteen Customers during the twelve (12) month period ended on January 31, 2022. There is no material dispute or disagreement pending with respect to any Top Fifteen Vendors or Top Fifteen Customers and no such dispute or disagreement was pending during the past five (5) years. The Purchased Company has not received any written notice from any of its Top Fifteen Vendors or Top Fifteen Customers of any cancellation of such relationship or any intention to alter the economic terms or other material terms of such relationship during the 6 (six) month period prior to the date of this Agreement.
Vendors and Customers. To the knowledge of the Selling Parties, none of the Selling Parties' vendors or customers accounting for more than 5% of the combined revenue of Selling Parties has terminated, or intends to reduce materially or terminate the amount of its business with or for the Selling Parties in the future. The Selling Parties have maintained their customer lists and related information on a confidential and proprietary basis and have not granted to any third party any right to use such customer lists for any purpose.
Vendors and Customers. Seller enjoys generally good working relationships with its Seller's customers as well as all vendors necessary to the normal operation of Seller's Business. Except as set forth in Schedule 3.1.8, during the previous twelve (12) months, no significant customer of Seller has terminated or materially reduced, or has given notice to Seller that it intends to terminate or materially reduce, its purchases of the Products from Seller nor does Seller otherwise have any knowledge of any such impending change; and during the previous twelve (12) months no vendor necessary to the normal operation of Seller's business has terminated or materially reduced any contract with Seller or given notice that it intends to terminate or materially reduce any contract nor does Seller otherwise have any knowledge of any such impending change.
