Transfer of Technical Information. In accordance with a schedule to be set forth in the TSA, Bayer, Intendis and their Affiliates shall transfer to KHL Information and Technology in Bayer’s, Intendis’ and their Affiliates’ possession or control that relate to the Compound or Product (including without limitation clinical, regulatory, commercial and CMC Information). Bayer, Intendis and their Affiliates further shall provide KHL, as specified in the TSA, with all information, and execute all documents, necessary or desirable to transfer to KHL any Regulatory Filings in Bayer’s, Intendis’ or their Affiliates’ name that relate to the Product.
Transfer of Technical Information. 3.1 Upon specific request made by Can-Fxxx to Leiden, at any time during the pendency of this agreement, Leiden will provide all Technical Information that has not previously been disclosed and that is reasonably necessary or desirable to enable Can-Fxxx to exercise its rights under this Agreement or will cause the Inventors to provide such Technical Information. Can-Fxxx can also approach the Inventors directly for such Technical Information.
Transfer of Technical Information. Any MICROSEMI TECHNICAL INFORMATION added to Appendix A by MICROSEMI after the EFFECTIVE DATE shall be transferred to MOTOROLA in tangible format within sixty (60) days after MICROSEMI has added it to Appendix A.
Transfer of Technical Information. The Licensor agrees that the Licensor shall furnish to the Licensee such Technical Information as will enable the Licensee to develop and manufacture the Licensed Products. All Technical Information furnished hereunder shall be used by the Licensee exclusively for the purpose of performing its obligations under this Agreement and shall not be used for any other purpose without the specific written approval of the Licensor.

Transfer of Technical Information. 3.2 The Parties acknowledge that BLS has generated certain Technical Information related to the 500mg Product subsequent to the execution of the Prior Agreement. Accordingly, BLS shall at the written request of Depomed (a) disclose and transfer to Depomed all of the Technical Information in the possession of BLS and (b) provide to Depomed such training and support at the facilities of Depomed, its licensee or its contract manufacturer, as Depomed, its licensee or its contract manufacturer reasonably requires to efficiently and economically optimize use of the Technical Information related to the 500mg Product in the Manufacture and Marketing of the 500mg Product (the “Technology Transfer”). Depomed shall arrange for access to the facilities of any licensee or contract manufacturer, at its own expense, to enable such disclosure and transfer to be conducted. BLS shall provide sufficient personnel to assist in the Technology Transfer as described in this Article 3, and may direct or authorize any contract manufacturer of BLS to provide any part of such Technology Transfer. BLS and Depomed shall cooperate to ensure that THE SYMBOL [***] IS USED TO INDICATE THAT A PORTION OF THE EXHIBIT HAS BEEN OMITTED AND FILED SEPARATELY WITH THE COMMISSION.
