Termination for Reasons Other Than Cause, Death or Disability. If the Executive's employment shall be terminated by the Company for reasons other than as stated in Sections 7(A) or (B), the Company shall continue to pay the Executive as damages the salary specified in Section 4 for the remainder of the Employment Period, subject to the Executive's obligation under law to mitigate such damages or to offset such damages by amounts earned by the Executive subsequent to the termination of this Agreement.

Notwithstanding the foregoing, except in the case of death, an Option will not be treated as an Incentive Stock Option unless at all times beginning on the Grant Date and ending on the day three months (one year in the case of a Participant who is “disabled” within the meaning of Section 22(e)(3) of the Code) before the date of exercise of the Option, the Participant is an employee of Cinco or a “parent corporation” or a “subsidiary corporation” of Cinco, as those terms are defined in Sections 424(e) and (f) of the Code, respectively (or a corporation or a parent or subsidiary corporation of such corporation issuing or assuming an option in a transaction to which Section 424(a) of the Code applies).

In the event of retirement, unvested SARs will immediately vest if You have attained age 65 or if you are between 55 and 65, so long as Your number of years employed exceeds 10 plus the number of years below age 65 at Your retirement.

Termination for Reasons Other Than Cause, Death or Disability. If the Participant’s continuous service as an employee or officer of the Company (or a parent or subsidiary of the Company) terminates for any reason other than death, Disability or Cause, the Participant may exercise the vested portion of this Option only within the period of time ending on the earlier of: (i) the date three months following the termination of his or her continuous service or (ii) the Expiration Date. Thereafter this Option shall terminate and cease to be exercisable. Notwithstanding, if at any time during this period the Participant violates the non-competition or confidentiality provisions of any employment contract, confidentiality and nondisclosure agreement or other agreement between the Participant and the Company (or a parent or subsidiary of the Company), his or her right to exercise this Option shall immediately terminate and cease to be exercisable upon such violation.

  • TERMINATION FOR DISABILITY OR DEATH (a) Termination of Executive’s employment based on “Disability” shall be construed to comply with Section 409A of the Internal Revenue Code and shall be deemed to have occurred if: (i) Executive is unable to engage in any substantial gainful activity by reason of any medically determinable physical or mental impairment that can be expected to result in death, or last for a continuous period of not less than 12 months; (ii) by reason of any medically determinable physical or mental impairment that can be expected to result in death, or last for a continuous period of not less than 12 months, Executive is receiving income replacement benefits for a period of not less than three months under an accident and health plan covering employees of the Bank or the Company; or (iii) Executive is determined to be totally disabled by the Social Security Administration. The provisions of Sections 6(b) and (c) shall apply upon the termination of the Executive’s employment based on Disability. Upon the determination that Executive has suffered a Disability, disability payments hereunder shall commence within thirty (30) days.

  • By Death or Disability Executive’s employment and this Agreement shall terminate upon Executive’s Disability or death. For purposes of this Agreement, “Disability” shall mean Executive's inability, due to physical or mental incapacity, to perform the essential functions of Executive's job, with or without reasonable accommodation, for one hundred eighty (180) days out of any three hundred sixty-five (365) day period; provided however, in the event that the Company temporarily replaces the Executive, or transfers the Executive's duties or responsibilities to another individual on account of the Executive's inability to perform such duties due to a mental or physical incapacity which is, or is reasonably expected to become, a Disability, then the Executive's employment shall not be deemed terminated by the Company. If the Executive and the Company cannot agree as to a qualified independent physician, each shall appoint such a physician and those two physicians shall select a third who shall make such determination in writing. The determination of Disability made in writing to the Company and the Executive shall be final and conclusive for all purposes of this Agreement. The Company shall give Executive written notice of termination for Disability and the termination shall be effective as of the date specified in such notice.

  • Termination Because of Death or Disability If Participant is Terminated because of death or Disability of Participant, the Option, to the extent that it is exercisable by Participant on the date of Termination, may be exercised by Participant (or Participant's legal representative) no later than twelve (12) months after the date of Termination, but in any event no later than the Expiration Date.
