System Modifications. You acknowledge and agree that we have the right to modify, add to or rescind any requirement, standard or specification that we prescribe under this Agreement to adapt the System to changing conditions, competitive circumstances, business strategies, business practices and technological innovations and other changes as we deem appropriate. You must comply with these modifications, additions or rescissions at your expense, subject to the requirements of subparagraph 5.E and any other express limitations set forth in this Agreement.
System Modifications. During the Term of this Agreement, neither party will modify its System so that it no longer exchanges Prescription Data in accordance with the Interface Specifications unless (i) eRx notifies Vemics in writing of its intent to make such modifications as soon as reasonably practicable in advance of the anticipated implementation date of such modification, (ii) Vemics notifies eRx in writing of its intent to make such modifications as soon as reasonably practicable in advance of the anticipated implementation date of such modification, or (iii) the parties mutually agree in writing to revise the Interface Specification. Each party shall be responsible for expenses incurred for its own modifications. Each party has the right to modify its System to remain compliant with the HIPAA regulations.
System Modifications. Amadeus or its licensors may, in its discretion modify, replace, substitute and/or upgrade or enhance the functions and components of, and data provided through, the System without any obligation to Customer or any Customer Location.
System Modifications. This task continues the development work if necessary and to adapt the system according to the user need. During the trial phase it is anticipated that the UMTS test will take place. This might be a great chance to test the acceptance of wireless access to facilities offered by cultural institutions. At the end of this task the system should be stable and itself ready for being marketed. Task 4.3: Analysis of system behaviour and user responses, recommendation for the future service; development of a financial plan for regular operations. All user and system reactions which have been logged or received during the trial phase will be analysed. If possible user profiles should be derived from available data being a basis to tailor the services and goods to such profiles. Especially the acceptance of having the chance to generate personalized products should be investigated. A SWOT analysis should help to detect weak points within the operation. A business plan should be established having in mind a rapid extension of the network in case the trial has turned out being successful. As basis for the evaluation the results of tasks 3.1 (user group) and task 3.2 (defined infrastructure and services) will be taken for benchmarking the REGNET system. The socio-economic objectives will be tested by the development of ‘acceptance test plans’ related to different system functions offered to the content providers and users. Special plans will be developed for operators of the service centres to deliver feedback to the developers on a technical basis. The evaluation will be done by professional evaluators. Deliverables
System Modifications. Company understands and recognizes that, for its Facility to meet all PJM requirements to be a Pseudo-Tie within the PJM Region, including but not limited to those in the PJM manuals and Governing Documents, and to permit implementation and administration of such Pseudo-Tie, PJM’s models and other PJM systems may require modifications to ensure an accurate representation of the Facility and other bulk power facilities that may not otherwise be required.
System Modifications. The Parties shall provide each other with tax invoices in respect of all fees for System modifications as contemplated in clause 6.9, subject to the remaining provisions of this clause 9.

Amadeus or its licensors may, in its discretion modify, remove, discontinue, replace, substitute and/or upgrade or enhance the functions and components of, and data provided through, the System without any obligation to EBOOKERS or any EBOOKERS Location, provided however that in the event a System functionality modification is made that would materially and adversely affect EBOOKERS, then the Parties will meet and negotiate in good faith possible work-around solutions with the goal of avoiding such adverse affect. If such modification is made without such work-around solutions, then EBOOKERS may terminate this Agreement. The EBOOKERS Location will not modify or alter the System.

Amadeus may in its discretion modify, substitute and/or upgrade or enhance the functions and components of, and data provided through, the Amadeus System; provided that each such modification, substitution, upgrade or enhancement shall not result in any reduction in functionality or data as compared to that available to Subscriber prior to such release, Amadeus will provide all necessary support to enable Subscriber to implement such release, and that there will be no additional charge Subscriber.

During the term of this Agreement Customer may identify enhancements or modifications which it desires to have MPOWER make to the MPOWER Software such as integration to other software systems, modifications for legal requirements and other functional enhancements. Customer shall be responsible for providing to MOWER. a description of the changes which Customer requests to be made in the MPOWER Software. MPOWER shall have the right to design any Customer requested modifications in a way which, in MPOWER's reasonable opinion, will not adversely affect the MPOWER Services or the structure or performance of the MPOWER Software or will have general applicability. In the event MPOWER agrees to provide such enhancements or modifications to the MPOWER Software, such enhancements and modifications shall be owned by MPOWER as part of the MPOWER Software. Resources utilized by MPOWER in providing services pursuant to any such requests will be charged to Customer as In order for these enhancements or modifications to be completed in a timely and successful manner, Customer will provide MPOWER with applicable information and access to key personnel during the period these services are being performed. MPOWER will be entitled to submit various materials, including time schedules, business requirement, specifications, and test results, for Customer's review, comment or approval. Customer will respond to each such request as soon as reasonably practicable, and, in any event, in a time frame consistent with the time schedules, and shall nor unreasonably withhold any sign-off or approval requested by MPOWER.

The Customer Office will not modify or alter the System.
