Subject to Agreement. The Optionee acknowledges that this Option is subject to the terms and conditions of the Agreement and of the Incentive Plan (to the extent set forth in the Agreement).
Subject to Agreement. The Property is hereby made subject to the provisions of this Agreement. All development of, or on, the Property, or any portion thereof, shall be undertaken only in compliance with the provisions of this Agreement and with Applicable Law.

The terms of the Purchase Agreement, including but not limited to, the representations, warranties, covenants, agreements and indemnities related to the Purchased Assets and Assumed Liabilities are incorporated herein by reference. The parties hereto acknowledge and agree that nothing contained in this Agreement will change, amend, extend or alter (nor will it be deemed or construed as changing, amending, extending or altering) the representations, warranties, covenants, agreements and indemnities contained in the Purchase Agreement in any manner whatsoever. This Agreement does not create or establish liabilities or obligations not otherwise created or existing under or pursuant to the Purchase Agreement. In the event of any conflict or other difference between the Purchase Agreement and this Agreement, the provisions of the Purchase Agreement will control.
Subject to Agreement. The rights of Members in the Company shall be subject to all of the terms and conditions of this Agreement.
