Situs of the Trust. It is the intention of the parties hereto that the Trust constitute a trust under the laws of the State of New York. The Trust will be created in the State of New York. The Trust’s only office will be at the office of the Trustee as set forth in Section 2.02 hereof.

The Trust will not have any employees and will not have any real or personal property (other than property acquired pursuant to Section 8.13 hereof and Home Equity Loan Files and certain other documents) located in any state other than in the State of New York. Payments will be received by the Trust only in the State of New York and payments from the Trust will be made only from the State of New York. The Trust's only office will be at the office of the Trustee as set forth in Section 2.02 hereof.
Situs of the Trust. The Trust will be located and administered in the State of Delaware. All bank accounts maintained by the Owner Trustee on behalf of the Trust shall be located in the State of Delaware. Payments will be received by the Owner Trustee only in Delaware, and payments will be made by the Owner Trustee only from Delaware. The only office of the Trust will be at the Corporate Trust Office.
Situs of the Trust. The situs of the Trust hereby created is Texas, and the laws of Texas shall control with respect to the construction, administration, and validity of the Trust.
Situs of the Trust. It is the intention of the parties hereto that the situs of the Trust shall be in the State of New York; provided that it is understood that the Files may be held by the Custodian on behalf of the Trustee outside the State of New York.

To the extent the Bankruptcy Code or other federal law is applicable, the rights, duties, and obligations arising under this Trust Agreement shall be governed by, and construed and enforced in accordance with, those laws as are applicable. Where the Bankruptcy Code or other federal law is not applicable, the rights, duties, and obligations arising under this Trust Agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of New York, without giving effect to the principles of conflict of law thereof.

Payments will be received by the Trustee only in the State of Illinois and payments from the Trustee will be made only from the State of Illinois. The Trust's only office will be at the office of the Trustee as set forth in Section 2.02 hereof.
Situs of the Trust. It is the intention of the parties hereto that the Trust constitute a trust under the laws of the State of New York. The Trust will not have any employees and will not have any real or personal property (other than such real or personal property acquired pursuant to Section 8.10) located in any state other than in the State of New York and payments will be received by the Trustee only in the State of New York and payments from the Trustee will be made only from the State of New York.
Situs of the Trust. The situs of the trust or trusts created hereby is the Commonwealth of Virginia. All questions pertaining to its validity, construction, and administration shall be determined in accordance with the laws of the Commonwealth of Virginia. Venue for any action regarding this Agreement is the City of Richmond, Virginia.
