Rights and Franchises. The Board and the Members shall cause the Company to do or cause to be done all things necessary to preserve and keep in full force and effect its existence, rights (charter and statutory) and franchises as well as the existence, rights (charter and statutory) and franchises of its Subsidiaries; provided, however, that the Company shall not be required to preserve any such right or franchise if the Board shall determine that the preservation thereof is no longer desirable for the conduct of its business and that the loss thereof is not disadvantageous in any material respect to the Company.

Rights and Franchises. Pledgor shall preserve and maintain all of its rights, privileges and franchises necessary in the normal conduct of its business, except where the failure to maintain any such right, privilege or franchise could not reasonably be expected to have a Material Adverse Effect.
