Right and Authority. Each Authorized Officer has the right and authority to take all actions specifically stated in the Certificate of Formation or this Agreement which may be taken by the Company or which the Authorized Officer considers necessary or advisable for the management and conduct of the Company’s business.
Right and Authority. Not withstanding anything to the contrary contained in this Agreement, Licensor shall not have the right to negotiate or enter into agreements with third parties pursuant to which it may grant a license to use prior to the termination or expiration of this Agreement.
Right and Authority. The Debtor has the right and authority to create the security interests created in this Agreement;

The Vendor has the legal capacity and good and sufficient right and authority to enter into this Agreement and to transfer the legal and beneficial title to and ownership of the Target Shares to the Purchaser, free and clear of all Encumbrances and to perform all of its other obligations hereunder.

IFS represents and warrants that (a) it is the owner of the Pak Products, including the Code and related documentation and including all intellectual property rights therein under copyright, patent, trademark, trade secret, and other applicable law; (b) it has the full and sufficient right and authority to grant the rights and licenses granted herein; (c) the Code and documentation have not been published under circumstances that have caused loss of any U.S. copyright therein; and (d) the Code and documentation, to the best of IFS's knowledge, do not infringe any copyright or other intellectual property right of any third party.
Right and Authority. In the event that the Customer is not an individual, the undersigned individual represents and warrants to ForgeRock that he or she has the requisite right and is duly authorized to execute this Agreement on behalf of the Customer.

Not withstanding anything to the contrary contained in this Agreement, Lecia L. Walker shalx xxx xxxx xxx right to negotiate or enter into agreements with third parties pursuant to which it may grant a license to use prior to the termination or expiration of this Agreement.

AVT represents and warrants that (i) it is the ------------------- owner of the Products, including, without limitation, the Code, Documentation, and Development Environment, including all intellectual property rights therein under copyright, patent, trademark, @e secret, and other applicable law; (ii) it has the fall and sufficient right and authority to grant the rights and licenses granted here, (iii) the Code and Documentation have not been published under circumstances that have caused loss of any U.S. or other patent or copyright therein; and (iv) the Code, Documentation and Development Environment, to the best of AVT's knowledge, do not infringe any patent, copyright or other intellectual property right of any third party.
