REPRESENTATIONS AND WARRANTIES OF SELLER REGARDING THE COMPANY AND THE BUSINESS. Subject to (a) the disclosures set forth in the disclosure schedule delivered by Seller to Purchaser concurrently with the execution of this Agreement or as updated in accordance with Section 6.6(a) (which disclosures shall identify the section or subsection to which they apply but shall also qualify such other sections or subsections in this Article III to the extent that it is reasonably apparent (with or without a specific cross-reference) on its face from a reading of the disclosure items that such disclosure is applicable to such other section or subsection) (the “Disclosure Schedule”) and (b) the Due Diligence Information, Seller hereby represents and warrants to Purchaser as follows:
