Replacement Engine. A General Electric CF6-80C2-A5F engine (or an engine of the same or another manufacturer) of the same or of equal or greater value, remaining useful life and utility as the Engine being replaced, together with all Parts relating to such engine; provided, however, that if such replacement engine is not a General Electric CF6-80C2-A5F engine, such replacement engine must then be commonly used in the commercial aviation industry on Airbus A300-600 airframes.

Replacement Engine. A General Electric CF6-80C2-A5F engine (or an engine of the same or another manufacturer) manufactured after October 22, 1994 of the same or of equal or greater value, remaining useful life and utility as the Engine being replaced, together with all Parts relating to such engine; provided, however, that if such replacement engine is not a General Electric CF6-80C2-A5F engine, such replacement engine must then be commonly used in the commercial aviation industry on Airbus A300-600 airframes. Responsible Officer. With respect to the Owner Trustee or the Indenture Trustee, any officer in its Corporate Trust Department or Corporate Trust Administration, as the case may be, designated by such Person to perform obligations under the Operative Agreements, with respect to the Owner Participant, the president or any vice president with direct responsibility for the transactions contemplated by the Operative Agreements, and with respect to any other party, any corporate officer or (except in the case of the Owner Participant) other employee of a party who, in the normal performance of his or her operational responsibilities, with respect to the subject matter of any covenant, agreement or obligation of such party pursuant to any Operative Agreement, would have responsibility for and knowledge of such matter and the requirements of any Operative Agreement with respect thereto. Replacement Engine. The replacement engine shall have a value and utility at least equal to, and be in as good operating condition as, the Engine with respect to which such Event of Loss shall have occurred, based on but not limited to (i) Cycles accumulated on each Engine Life Limited Part, (ii) Flight Hours accumulated since new (and accumulated since completion of the most recent heavy maintenance shop visit that completed a workscope at least equivalent to that of an Engine Restoration if an Engine Restoration had previously been accomplished on the Engine that suffered such Event of Loss), and (iii) Flight Hours and Cycles accumulated since new (and accumulated since the most recent restoration or refurbishment of each engine module with respect to any module for which a restoration or refurbishment had previously been accomplished on the Engine that suffered such Event of Loss), assuming such Engine was of the value and utility and in the condition and repair as required by the terms hereof immediately prior to the occurrence of such Event of Loss.
Replacement Engine. (a) If at any time and from time to time, the Engine may, or may be required to, be replaced under Section 6(a) or 11(a) of the Lease by a Replacement Engine, as the case may be, in accordance with the provisions of this Section 5.06 and the provisions of said Sections of the Lease, the Owner Trustee shall, at such time or times, but subject to compliance with the conditions to such replacement set forth in the Lease, direct the Indenture Trustee to execute and deliver to or as directed in writing by the Owner Trustee an appropriate instrument releasing the Engine as appropriate from the Lien of this Indenture and the Indenture Trustee shall execute and deliver such instrument as aforesaid, but only upon receipt by or deposit with the Indenture Trustee of the following:
Replacement Engine. The Company may at any time or from time to time subject to the Lien of this Security Agreement one or more Replacement Engines, in substitution for one or more of the Engines then constituting part of the Aircraft and subject to such Lien, provided that each Replacement Engine so subjected to the Lien of this Security Agreement shall be appropriate for installation on the Airframe.

Replacement Engine. A General Electric CF6-80C2-A5F engine (or an engine of the same or another manufacturer) of equal or greater value, airworthiness, remaining useful life and utility as the Engine being replaced, together with all Parts relating to such engine, and suitable for installation and use on the Airframe; provided, that an engine of another manufacturer of equivalent or greater value, utility, remaining useful life and airworthiness, and suitable for installation and use on the Airframe may constitute a Replacement Engine if at the time of replacement General Electric is no longer manufacturing engines certificated for use on the Airframe, the Lessee does not at the time of replacement own or lease any General Electric engines certificated for use on the Airframe or, except in connection with the return of the Aircraft under Article 12 of the Lease, General Electric is no longer manufacturing engines which reasonably fulfill the Lessee's operational requirements; and provided further that such engine shall be of the same make, model and manufacturer as the other engine installed on the Aircraft and shall be an engine of a type then being utilized by the Lessee on a significant number of other Airbus A300-600 airframes operated by the Lessee.

Replacement Engine. The replacement engine shall not have accumulated more than one hundred ten percent (110%) of the total Flight Hours and Cycles since new and since completion of the most recent Engine Restoration as compared to the replaced Engine and have a value and utility at least equal to, and be in as good operating condition as, the Engine with respect to which such Event of Loss shall have occurred, based on but not limited to (i) Cycles accumulated on each Engine Life Limited Part, (ii) Flight Hours accumulated since new (and accumulated since completion of the most recent heavy maintenance shop visit that completed a workscope at least equivalent to that of an Engine Restoration if an Engine Restoration had previously been accomplished on the Engine that suffered such Event of Loss), and (iii) Flight Hours and Cycles accumulated since new (and accumulated since the most recent restoration or refurbishment of each engine module with respect to any module for which a restoration or refurbishment had previously been accomplished on the Engine that suffered such Event of Loss), assuming such Engine was of the value and utility and in the condition and repair as required by the terms hereof immediately prior to the occurrence of such Event of Loss. Prior to transfer of title of such replacement engine to Lessor, both Lessor and Lessee shall in good faith determine whether an adjustment, if any, should be made to the Engine Reserves for the replaced Engine and following transfer of title of such replacement engine to Lessor, if it was determined that (x) additional Engine Restoration Reserves (if applicable) or Engine Life Limited Parts Reserves were due, then Lessee shall promptly pay such amount due to Lessor or (y) the amount then currently held by Lessor is in excess of what is needed in the Engine Restoration Reserve (if applicable) or the Engine Life Limited Parts Reserve for the replacement engine, then, provided no Event of Default has occurred and is continuing, Lessor shall promptly refund such excess amount to Lessee, provided, that if, after becoming an Engine pursuant to this Lease, such replacement engine is covered by a Lessee Engine TCA (as defined in Section 2.A.(vi)(d) of Appendix 2D hereof), the adjustments described in this Section 20.4(a) shall only apply (A) to the Engine Restoration Reserves if an Engine Restoration has not been accomplished with respect to such replacement engine during the Lease Term, subject to a requirement for Lessee to mak...
