Registrations. Except pursuant to licenses and other user agreements entered into by each Loan Party in the ordinary course of business that are listed in Schedule 12(a) or 12(b) to the Perfection Certificate, on and as of the date hereof (i) each Loan Party owns and possesses the right to use, and has done nothing to authorize or enable any other person to use, any copyright, patent or trademark (as such terms are defined in the Security Agreement) listed in Schedule 12(a) or 12(b) to the Perfection Certificate and (ii) all registrations listed in Schedule 12(a) or 12(b) to the Perfection Certificate are valid and in full force and effect.
Registrations. In the event any intellectual property created under this Agreement and owned by LAUSD shall be determined by LAUSD to be copyrightable or patentable or otherwise registrable, Contractor shall assist LAUSD in obtaining and maintaining registrations and in vesting LAUSD with full title.
Registrations. The Corporation will have the exclusive right to obtain copyright registrations, letters patent, industrial design registrations, trade-mxxx registrations or any other protection in respect of the Materials and the intellectual property rights relating to the Materials anywhere in the world. At the expense and request of the Corporation, the Executive shall, both during and after the Executive's employment with the Corporation, execute all documents and do all other acts necessary in order to enable the Corporation to protect its rights in any of the Materials and the intellectual property rights relating to the Materials.
Registrations. Except pursuant to non-exclusive licenses and other non-exclusive use agreements entered into by each Loan Party in the ordinary course of business, and except as set forth on Schedule 12(c) to the Perfection Certificate, on and as of the Closing Date each Loan Party owns and possesses the right to use and has not authorized or enabled any other person to use, any Intellectual Property listed on any schedule to the relevant Perfection Certificate or any other Intellectual Property that is material to its business, except for such authorizations and enablements as could not reasonably be expected to result in a Material Adverse Effect. All registrations listed on Schedule 12(a) and 12(b) to the Perfection Certificate are valid and in full force and effect, in each case, except where the absence of such validity or full force and effect, individually or collectively, could not reasonably be expected to have a Material Adverse Effect.
Registrations. All registrations for Copyrights, Patents and Trademarks are valid and in force, and all applications to register any Copyrights, Patents and Trademarks are pending and in good standing, all without challenge of any kind.
Registrations. If the Company has elected to effectuate a public registration of shares of the Company's Common Stock for the Company's account, the Company will give prompt notice to Shareholder (the "Company's Notice"). The Company's Notice shall describe the date of proposed filing and the date by which the registration rights granted pursuant to this Section 1 must be exercised, the nature and method of any such registration and shall include a listing of the jurisdictions, if any, in which the Company proposes to register or qualify the securities under the applicable securities or "Blue Sky" laws of such jurisdictions. Upon receipt of the Company's Notice, Shareholder may request, in writing, that the Company effect the public registration of the shares then held by Shareholder and purchased in accordance with the Stock Purchase Agreement (which request shall specify the aggregate number of shares intended to be registered by Shareholder, shall describe the nature or method of the proposed registration and shall contain an undertaking by Shareholder to cooperate fully with the Company in order to permit the Company to comply with all applicable requirements of the relevant securities laws and the rules and regulations thereunder and to obtain acceleration of the effective date of the registration statement contemplated thereby), and the Company will use its best efforts to cause all shares as to which registration has been requested by Shareholder to be included in the Company's registration statement. The registration rights granted pursuant to this Section 1 may not be exercised more than once, whether exercised in whole or in part (provided, however, that any request made pursuant to this Section 1 which does not result in the declaration of effectiveness of a registration statement covering the shares owned by Shareholder, whether as a result of the withdrawal of the registration statement by the Company or through other action or inaction of the Company or otherwise, shall not be counted in determining the number of times registration rights have been exercised pursuant to this Section 1). The Company shall be entitled to postpone the filing of any registration statement if the Company's Board of Directors reasonably determines, in good faith, that such registration would not be in the best interests of the Company.
Registrations. I agree to assist the Company, or its designee, at the Company’s expense, in every proper way to secure the Company’s rights in the Inventions and any copyrights, patents, trademarks, service marks, or other intellectual property rights relating thereto in any and all countries, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, trademarks, service marks or other intellectual property rights relating thereto. I further agree that my obligation to execute or cause to be executed, when it is in my power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of my mental or physical incapacity or for any other reason to secure my signature to apply for or to pursue any application for any United States or foreign patents, copyright, trademarks, service marks, or other intellectual property registrations covering Inventions or original works of authorship assigned to the Company as above, then I hereby irrevocably designate and appoint the Company and its duly authorized officers and agents as my agent and attorney in fact, to act for and in my behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent, copyright, trademark, service xxxx, or other intellectual property registrations contemplated by this Section 2(c)(iv) with the same legal force and effect as if executed by me. THIS POWER OF ATTORNEY IS COUPLED WITH AN INTEREST AND IS IRREVOCABLE.
Registrations. The Assignor has duly and properly applied for ------------- registration of the Patents listed in Exhibit A hereto as indicated thereon in --------- the United States Patent and Trademark Office.
Registrations. Except pursuant to licenses and other user agreements entered into by any Grantor in the ordinary course of business, on and as of the date hereof (i) each Grantor owns and possesses the right to use, and has done nothing to authorize or enable any other Person to use, any material Copyright, Patent or Trademark listed in Section III of the Information Certificate, and (ii) to each Grantor's knowledge, all registrations listed in Section III of the Information Certificate are valid and in full force and effect.
Registrations. Neither the preparation, execution nor any registrations or filings with respect hereto, shall bind the Assignee to make an advance under the Mortgage.
