Real Property Lease Obligations. All Liabilities of Seller under the Real Property Leases arising and to be performed after the date of the Closing, and excluding any such Liabilities arising or to be performed on or prior to the date of the Closing;
Real Property Lease Obligations. Subject to the provisions of SECTION 1.08, all obligations of the Company under the Real Property Leases;
Real Property Lease Obligations. All obligations of Seller (or its applicable subsidiaries) under the Real Property Leases;
Real Property Lease Obligations. Subject to the provisions of Section 1.08, all obligations of the Company under the Real Property Leases; Accounts Payable. All obligations of the Company with respect to accounts payable outstanding on the Closing Date and calculated as set forth on the Schedule attached hereto as Exhibit H, but excluding any Liability owed by the Company to any Affiliate of the Company ("Accounts Payable");
Real Property Lease Obligations. All obligations of Contributor (and its subsidiaries) under their Real Property Leases arising and to be performed only on or after the Closing Date, and excluding any obligations under their Real Property Leases arising or to be performed prior to the Closing Date.
Real Property Lease Obligations. All obligations of the applicable Seller under the Real Property Leases arising and to be performed on or after the Closing Date, and excluding any such obligations arising or to be performed prior to the Closing Date; and
Real Property Lease Obligations. All obligations of Seller and Los Pueblos under the Real Property Leases arising and to be performed on or after the Closing Date, and excluding any such obligations arising or to be performed prior to the Closing Date;
Real Property Lease Obligations. All Liabilities of any Asset Seller or Business Subsidiary under the Business Real Property Leases (excluding Liabilities for breaches and torts or which with notice, lapse of time or both would be a breach);
Real Property Lease Obligations. All obligations of Seller ------------------------------- arising during and relating to the period after the Closing under the Leases;
Real Property Lease Obligations. (i) Each lease of real property (the "Leased Real Property") used or occupied by Argexxxxxxx Xxxurity or used or occupied by any other Argexxxxxxx Xxxity in connection with the US Business (the "Real Property Leases") is legal, valid, binding and enforceable, and in full force and effect, except as enforceability may be limited by bankruptcy, insolvency and other similar laws affecting the enforceability of creditors rights generally, general equitable principles and the discretion of courts in granting equitable remedies. Neither Argexxxxxxx Xxxurity nor any other party is in default, breach or violation in any respect under any Real Property Lease or any lease superior to such Real Property Lease, and no event, to the best knowledge of any Argexxxxxxx Xxxity, has occurred and is continuing that constitutes, or with notice and/or the passage of time would constitute, a default, violation or breach in any respect under any Real Property Lease or any lease superior to such Real Property Lease. The Argexxxxxxx Xxxities are not subject to any present claim, contest, dispute, action or, to the knowledge of any Argexxxxxxx Xxxity, threatened action, at law or in equity or otherwise related to any of the Leased Real Property except as set forth in Section 5.18(a)(i) of the US Disclosure Memorandum.
