POLICY AND COMPLIANCE. The Supplier shall, in the month immediately preceding the anniversary of the Restatement Date, confirm to HSBC in writing that all Supplier Personnel have complied with HSBC Policies.

By Federal regulations and NOAA Marine and Aviation Operations policy, the ship may not sail without a complete inventory of all hazardous materials by name and the anticipated quantity brought aboard, MSDS and appropriate neutralizing agents, buffers, and/or absorbents in amounts adequate to address spills of a size equal to the amount of chemical brought aboard. The amount of hazardous material arriving and leaving the vessel shall be accounted for by the FPC.

The Parties are responsible for ensuring that they comply with all of their legal duties including in respect of decision making, health and safety, employment (including Public Interest Disclosure Act 1998), contract and tort. Notwithstanding section 4 above and subject to clause 5.3 below the Commissioners (to the extent necessary to give effect to this Agreement) and the Secondee shall comply with the governance instruments, Policies and Procedures (“the rules”) of both Commissioners including but not limited to provisions in respect of political restriction, conduct, vetting confidentiality, dispute resolution, intellectual property and information security. To the extent that the respective Commissioners’ rules are mutually incompatible there shall be a presumption in favour of compliance with the rules of the Commissioner for Cleveland. Subject to that presumption the Parties shall seek to resolve such conflicts in such manner as appears appropriate to them.

Under dual control and role separation requirements, any partition data will require that at least two (2) Entrust personnel be present for any direct operation with the HSM or a partition. It should be noted that even if a key can be seen in a partition, it cannot be exported from the HSM.
