PERSONNEL AND SERVICES. Parent shall have made arrangements reasonably satisfactory to Acquirer that provide Acquirer with access to ongoing personnel and related services from QPC Services Company or other Affiliates of Parent, on terms consistent with the projections provided to the Acquirer Conflicts Committee as part of the Acquirer Conflicts Committee’s evaluation of this Agreement and the transactions contemplated hereby, that are reasonably necessary or appropriate to replace the services being performed by the employees of the Company and each Company Subsidiary as of the Effective Date.

PERSONNEL AND SERVICES. The charges for services rendered to one member by another shall be based on actual time expended, at rates calculated to recover direct and indirect costs, and other operating costs incidental to departmental services provided; and
PERSONNEL AND SERVICES. The Responding Member shall be reimbursed by the Requesting Member for personnel and services costs incurred for work performed during the specified Period of Assistance. Responding Member personnel and services costs shall be calculated according to the terms provided in their employment contracts or other conditions of employment. The Responding Member’s designated supervisor(s) must keep accurate records of work performed by personnel during the specified Period of Assistance. Requesting Member reimbursement to the Responding Member shall consider all personnel or services costs, including salaries or hourly wages, costs for fringe benefits, and indirect costs.
PERSONNEL AND SERVICES. User is required to use KBHCCD’s exclusive service partners and preferred service partners as listed in Section II. KBHCCD reserves the right to rent and control parking facilities and at all times. KBHCCD also reserves the sole and exclusive right to designate the contractor or contractors to perform certain required and necessary functions at KBHCCD, including, but not limited to, security guards, sound system technicians, electricians, telecommunications provider and paramedics. When KBHCCD does not designate a specific contractor for the provision of such services, User shall employ sufficient personnel for the provision of such necessary services, subject at all times to KBHCCD’s approval, which approval shall not be unreasonably withheld. User agrees that each person employed by User to provide such services in KBHCCD will at all times maintain a neat, clean appearance, including standard uniform and/or photo identification, and behave in a polite and professional manner. User agrees to replace any such employee or contractor who fails to maintain a satisfactory level of performance or acceptable standards immediately upon notice from KBHCCD. All exclusive service provider agreements/fees must be finalized at least 15 days prior to the first Event date.
PERSONNEL AND SERVICES. The City shall provide the Authority, and the Authority shall accept from the City, all certified firefighting personnel necessary to meet the requirements of Federal Aviation Regulation, Part 139.315(b)(1), at the Naples Municipal Airport described in Chapter 69-1326 of the Laws of the State of Florida, as amended. The required personnel shall, in no event, be no fewer than that number required by FAR Part 139.315(b)(1). The City shall provide continuing training in aircraft crash, fire and rescue techniques to all City personnel assigned to the Authority in accordance with Federal Aviation Regulation, Part 139.319, and equivalent training to the Authority’s supervisory personnel as designated by its Executive Director. The Authority shall provide to the City, and the City shall accept from the Authority, all crash, fire and rescue equipment and vehicles necessary to meet the requirements of Federal Aviation Regulation, Part 139.317(a). Such crash, fire and rescue vehicles shall be used as the primary response vehicles at the Naples Municipal Airport and shall be staffed by the certified firefighters provided by the City. The City and the Authority agree that the City shall have the right to deploy City personnel and Authority equipment to provide emergency response services to the City’s service areas near the Naples Municipal Airport, but the City shall immediately dispatch replacement personnel and equipment from other City Police and Emergency Services Department facilities sufficient to sustain Airport Index Level A of the FAA Airport Certification Requirements necessary to maintain commercial aircraft operation. In the event the Authority’s crash, fire and rescue vehicles or equipment require maintenance, repair or replacement, of a nature that would remove such vehicles or equipment from service at Naples Municipal Airport, the City shall immediately notify the Executive Director of the planned removal of the vehicles or equipment from service and shall provide replacement vehicles and equipment with adequate firefighting capabilities to the Authority during any periods in which the Authority’s crash, fire and rescue vehicles or equipment are removed from service. The Authority shall reimburse the City for all maintenance and repair expenses of vehicles or equipment owned by the Authority and maintained by the City. PERSONNEL AND SERVICES. This Agreement is entered into between Evologic Pty Ltd, ACN 099 722 791 (Evologic) and the customer named in the Proposal (the Client). It is agreed as follows:
PERSONNEL AND SERVICES. (a) Lessor reserves the sole and exclusive right to designate the contractor or contractors to perform certain required and necessary functions at the Premises, including, but not limited to, cleaning services, trash removal, ushers, security guards, sound & light technicians, electricians, valet parkers, and paramedics. Lessee will utilize approved exclusive contractor Platinum Event Services and Consulting for event security, ticket takers, ushers and law enforcement and will submit: a SITE/FIRE PLAN, a SECURITY/EMERGENCY MEDICAL PLAN AND EVENT FENCING PLAN to the Fair Park Sales and Events Services by December 11, 2015 subject to approval of the Dallas Fire Department/Dallas Police Department. When Lessor does not designate a specific contractor for the provision of such services, Lessee shall employ sufficient personnel for the provision of necessary services, subject at all times to Lessor's approval, which approval shall not be unreasonably withheld.
