Other Compensation Arrangements. Neither the Company nor, to the Company's knowledge, any Stockholder or Physician Employee is a party to any compensation or debt arrangement with any Person relating to the provision of health care related services other than arrangements with the Company.
Other Compensation Arrangements. (a) Except as disclosed in the Company SEC Documents or in Section 3.11(a) of the Disclosure Schedule, and except as provided in this Agreement, as of the date of this Agreement, neither the Company nor any of the Subsidiaries is a party to any oral or written (i) consulting agreement not terminable on 180 calendar days notice or less and involving the payment of more than $150,000 per annum, (ii) agreement with any executive officer of the Company or any of the Subsidiaries (x) the benefits of which are contingent, or the terms of which are materially altered, upon the occurrence of a transaction involving the Company of the nature contemplated by this Agreement, or (y) providing any term of employment or compensation guarantee extending for a period longer than two years or the payment of more than $150,000 per year, or (iii) agreement or plan, including any stock option plan, stock appreciation right plan, restricted stock plan or stock purchase plan, any of the benefits of which will be increased, or the vesting of the benefits of which will be accelerated, by the occurrence of any of the transactions contemplated by this Agreement or the value of any of the benefits of which will be calculated on the basis of any of the transactions contemplated by this Agreement.

Other Compensation Arrangements. Nothing contained in this Plan shall prevent the Board from adopting other or additional compensation arrangements, including trusts, and such arrangements may be either generally applicable or applicable only in specific cases.
Other Compensation Arrangements. The Executive shall be eligible to participate in other bonus, compensation and stock option arrangements as approved from time to time by the Board.

Except as set forth in Schedule 5.19(l), neither Seller nor any Principal Stockholder or Physician Employee of Seller is a party to any compensation or debt arrangement with any Person relating to the provision of health care related services other than arrangements with Seller.

Except as provided in this Agreement, as of the date of this Agreement, the Company is not a party to any oral or written (i) consulting agreement that is not terminable on not more than 30 calendar days notice, or union or collective bargaining agreement, (ii) agreement with any executive officer or other key employee of the Company (iii) agreement with a third party in which a Company officer or other employee is a shareholder, partner, consultant or employee or (iv) agreement or plan, including any stock option plan, stock appreciation right plan, restricted stock plan or stock purchase plan.
Other Compensation Arrangements. Neither the Parent nor the Acquisition Sub is a party to any oral or written (i) consulting agreement that is terminable on more than 30 calendar days notice, or union or collective bargaining agreement, (ii) agreement with any executive officer or other key employee of Parent or Acquisition Sub, or (iii) agreement or plan, including any stock option plan, stock appreciation right plan, restricted stock plan or stock purchase plan.
Other Compensation Arrangements. The existence of the Plan or the grant of any Award will not in any way affect the right of the Company or an Affiliate to Award a person bonuses or other compensation in addition to Awards under the Plan.
