Original Signature Pages. Each party agrees to deliver its original signature pages to the Transaction Documents to the other party within five (5) Trading Days of the date hereof. Notwithstanding the foregoing, the Transaction Documents shall be fully effective upon exchange of electronic signature pages by the parties and payment of the Purchase Price by Investor. For the avoidance of doubt, the failure by either party to deliver its original signature pages to the other party shall not affect in any way the validity or effectiveness of any of the Transaction Documents, provided that such failure to deliver original signatures shall be a breach of the party’s obligations hereunder.

Original Signature Pages and Capital Stock Certificate. As soon as is reasonably practical and in no event more than 5 Business Days following the Closing Date, the Loan Parties shall deliver to Lender the Loan Parties’ original executed signature pages to the Loan Documents entered into on the Closing Date to which the Loan Parties are party, and shall deliver to Senior Lender together with the original stock certificate in respect of all issued and outstanding Capital Stock held by each Loan Party in its respective Subsidiary or Subsidiaries.
