Order Change Charges. If either Party modifies an order after being sent a Firm Order Confirmation (FOC) from the other Party, the Order Change Charge specified in this Agreement will be paid by the modifying Party in accordance with the Pricing Attachment of this Agreement.

Order Change Charges. If either Party modifies an order after being sent a FOC from the other Party, the Order Change Charge specified in the Pricing Attachment to this Agreement will be paid by the modifying Party in accordance with the Pricing Attachment of this Agreement. If the OSP is contacted directly by the End User Customer during the pendency of the port and the customer decides to remain with the OSP, the OSP will direct the End User Customer to notify the NSP immediately that the port is to be cancelled and the Parties will work cooperatively to cancel the port prior to activation in accordance with Section 2.2.2 and neither a LSR nor a Cancellation Charges shall apply.
Order Change Charges. If the requesting Party modifies an order after being sent a Firm Order Confirmation (FOC) from the executing Party and after the time permitted for changes pursuant to Exhibit 2 to this Attachment, the Order Change Charge will be paid by the requesting Party in accordance with the Pricing Attachment. This Section 2.3.4 shall not apply to a modification if such modification occurs after (i) the executing Party misses the due date reflected in a FOC or (ii) (A) the executing Party proposes a due date that is different from the date requested by the requesting Party and the proposed date is outside the time period set forth in Exhibit 2 to this Attachment by five (5) business days or more and (B) the requesting Party modifies the LSR within two (2) business days of receipt of the firm order confirmation.

  • Unauthorized Carrier Change Charges In the event either Party requests that the other Party install, provide, change, or terminate a Customer’s Telecommunications Service (including, but not limited to, a Customer’s selection of a primary Telephone Exchange Service Provider) without having obtained authorization from the Customer for such installation, provision, selection, change or termination in accordance with Applicable Laws, the requesting Party shall be liable to the other Party for all charges that would be applicable to the Customer for the initial change in the Customer’s Telecommunications Service and any charges for restoring the Customer’s Telecommunications Service to its Customer-authorized condition (all such charges together, the “Carrier Change Charges”), including to the appropriate primary Telephone Exchange Service provider. Such Carrier Change Charges may be assessed on the requesting Party by the other Party at any time after the Customer is restored to its Customer-authorized condition.

  • User Charges 1. User charges that may be imposed by the competent charging authorities or bodies of each Party on the airlines of the other Party shall be just, reasonable, not unjustly discriminatory, and equitably apportioned among categories of users. In any event, any such user charges shall be assessed on the airlines of the other Party on terms not less favorable than the most favorable terms available to any other airline at the time the charges are assessed.

  • OUR CHARGES 6.1 We charge a brokerage fee for our services (the “Fee”). Unless otherwise agreed and where we are not acting as principal, the Fee will be levied in accordance with our rates in effect at the time the Fees are incurred or as otherwise notified to you, verbally or in writing prior to dealing. Any alteration to these Fees will be notified to you at or before the time of the change.

  • Service Charges No service charge shall be made for any exchange or registration of transfer of Warrants.

  • Monthly Charges Purchaser shall pay Seller monthly for the electric energy generated by the System and delivered to the Delivery Point at the $/kWh rate shown in Exhibit 1 (the “Contract Price”). The monthly payment for such energy will be equal to the applicable $/kWh rate multiplied by the number of kWh of energy generated during the applicable month, as measured by the System meter.

  • CAISO Charges (a) Seller shall assume all liability and reimburse Buyer for any and all CAISO Penalties incurred by Buyer because of Seller’s failure to perform any covenant or obligation set forth in this Agreement. Buyer shall assume all liability and reimburse Seller for any and all CAISO Penalties incurred by Seller as a result of Buyer’s actions, including those resulting in a Buyer Curtailment Period.

  • Underutilization and Early Termination Charges If Customer's Total Service Charges do not reach the AVC, in any Contract Year during the Initial Term; Customer shall pay an “Underutilization Charge” equal to 50% of the unmet AVC. If Customer’s Total Service Charges do not reach the AVC in any Contract Year because the Agreement is terminated early by Customer without Cause or by the Company with Cause, Customer shall pay an “Early Termination Charge” equal to 50% of the unmet AVC plus a pro rata portion of any credits received by Customer.
