Operation Requirements. Lessee agrees to construct Recreational Improvements on the Premises (including grading) and to operate and maintain the Premises and Recreational Improvements during the Term according to the terms and conditions stated in this Lease and such additional operating terms and conditions which will be submitted to LAWA Chief Executive Officer (“Chief Executive Officer”) for approval before construction commences (“Operation Requirements”). Lessee shall use the Premises in strict compliance with said Operation Requirements, and all other provisions of this Lease. Any material changes in Operation Requirements, shall be subject to Chief Executive Officer’s prior review and written approval. Operation Requirements. LAVWMA will design, operate and maintain its facilities at no cost to EBDA such that the maximum pressure on a closed valve at the point of connection to EBDA’s System will not exceed an equivalent water surface elevation of 65 feet above mean sea level. LAVWMA’s valve at the point of connection shall be operated only by EBDA only after providing oral or written notice to LAVWMA. It is anticipated that either EBDA or LAVWMA may be required to interrupt flow from time to time for inspection, maintenance and repair of each Party’s respective facilities, in which event each shall give the other adequate advance written notice for the other to make provisions for adequate disposal, to isolate the two systems, and to protect each system from damage. In the event that either Party makes or causes any significant change in the operation of its facilities that would foreseeably affect the other, it shall advise the other either orally or in writing as soon as such change is known. In the event of an emergency requiring an immediate shut-down or isolation of either EBDA’s or LAVWMA’s facilities, both Parties shall coordinate their operations and jointly take the affected facility out of service to avoid or minimize damage to either Party’s facilities. Each Party shall operate and maintain its respective system so as not to damage the other Party’s system. Each Party shall hold the other free and harmless from all liability or damage incurred by the other or by a third party as a direct and proximate result of any failure by such Party to properly operate and maintain its system.
Operation Requirements. (a) The Plant will be operated in synchronism with Company's system and subject to and in compliance with the then-current established guidelines of the Electric Reliability Council of Texas (ERCOT) and subject to directions of TUSOC. Compliance with such guidelines and directions, other than those prescribing frequency and other standards for the Company's transmission and generation system and other systems with which it is interconnected, will not impair operation of the Plant (and delivery of power and energy therefrom to Company's transmission system) at a level equal to Firm Capacity except for emergencies or reliability matters involving Company's system. Without limiting the foregoing, Cogenerator will comply with any ERCOT-approved guideline for responsive reserves. The current ERCOT guidelines state that Cogenerator shall operate the Plant in such a manner as normally to provide for a spinning reserve of no less than 6% of the nominal capacity rating of units on line (Released Capability). This spinning reserve provides for the Automatic Governor Response to system frequency disturbances as specified in section 5.03(f), or for manual increase by the unit operator as requested by TUSOC. The Plant must be able to maintain operation at this increased level of capability for a minimum of eight (8) hours following each disturbance or request.
