Operation of the Charter School. 5.0 Mission Statement, Academic Goals and Objectives, and Metrics. The mission statement of the Charter School shall be consistent with the principles of the Virginia Standards of Quality. The Charter School will seek to meet or exceed the Standards of Learning. The Charter School shall implement a plan for assessment of pupil performance to include statewide performance assessments. The Charter School will be evaluated in the same fashion as other LCPS elementary schools to include consideration of the above statewide assessments and testing. The Metrics are as follows: 1) Average attendance of 94% or higher each month, 2) Satisfaction rate of 80% or higher on the annual parent survey, 3) “Fully Accredited” status from the State, and 4) Achieve or exceed “Meets AMO” status for the “All Students” (total number of students tested), with local school monitoring of students in Gap Groups 1, 2, and 3. In addition, the Charter School will also be measured on its progress in achieving its goal and objectives. The following is an excerpt from the March 10, 2015, revised application and is intended to be a component of this Agreement: “The Hillsboro Charter Academy will prepare students for future success by: • promoting academic excellence and equity for a diverse population of students in Hillsboro and Loudoun County; • providing a choice of educational opportunities within Loudoun County for parents, students, and educators; and • creating a safe learning environment, but with high expectations, for elementary school age children to fully develop their range of skills, abilities and knowledge in an innovative and holistic approach incorporating a multi-disciplinary approach. HCA will be a school community in which students, faculty, staff, and parents are jointly aware of and committed to the mission and goals of the school.

The Metrics are as follows: 1) No more than 15% of students considered “habitually absent” (absent 10% or more), 2) Satisfaction rate of 80% or higher on the annual parent survey, 3) “Fully Accredited” status from the State, and 4) 100% compliance with official audit findings. The Charter School shall design a parent survey that is aligned with its identified mission and vision and set a success criteria for that survey.[11] In addition, the Charter School will also be measured on its progress in achieving its goals and objectives:. The cost of Purchaser’s actions, supplies, and equipment on any such fire provided pursuant to B7.3, or otherwise at the request of Forest Service, shall be credited toward such maximum. If Purchaser’s actual cost exceeds Purchaser’s obligation stated in A14, Forest Service shall reimburse Purchaser for the excess.

Notwithstanding any other provision of this Agreement, the Member shall not, without the prior written consent of the unanimous vote or consent of the Member(s), sell, exchange, lease, assign or otherwise transfer all or substantially all of the assets of the Company; sell, exchange, lease (other than space leases in the ordinary course of business), assign or transfer the Company’s assets; mortgage, pledge or encumber the Company’s assets other than is expressly authorized by this Agreement; prepay, refinance, modify, extend or consolidate any existing mortgages or encumbrances; borrow money on behalf of the Company; lend any Company funds or other assets to any person or entity; establish any reserves for working capital repairs, replacements, improvements or any other purpose; confess a judgment against the Company; settle, compromise or release, discharge or pay any claim, demand or debt, including claims for insurance; approve a merger or consolidation of the Company with or into any other limited liability company, corporation, partnership or other entity; or change the nature or character of the business of the Company. The Member(s) shall receive such sums for compensation as Member(s) of the Company as may be determined from time to time by the affirmative vote or consent of Member(s) holding a majority of the Member(s)’ Percentage Interests.

  • Reservations for Registry Operations 3.1. The following ASCII labels must be withheld from registration or allocated to Registry Operator at All Levels for use in connection with the operation of the registry for the TLD: WWW, RDDS and WHOIS. The following ASCII label must be allocated to Registry Operator at All Levels for use in connection with the operation of the registry for the TLD: NIC. Registry Operator may activate WWW, RDDS and WHOIS in the DNS, but must activate NIC in the DNS, as necessary for the operation of the TLD. None of WWW, RDDS, WHOIS or NIC may be released or registered to any person (other than Registry Operator) or third party. Upon conclusion of Registry Operator’s designation as operator of the registry for the TLD all such withheld or allocated names shall be transferred as specified by ICANN. Registry Operator may self-­‐allocate and renew such names without use of an ICANN accredited registrar, which will not be considered Transactions for purposes of Section 6.1 of the Agreement.

  • Execution of the Contract 30.1 This Contract and any amendments thereto may be executed in any number of counterparts with the same effect as if all parties hereto had signed the same document. All counterparts will be construed together and will constitute one and the same original agreement.

  • DISTRIBUTORS, VENDORS, RESELLERS Contractor agrees and acknowledges that any such designations of distributors, vendors, resellers or the like are for the convenience of the Contractor only and the awarded Contractor will remain responsible and liable for all obligations under the Contract and the performance of any designated distributor, vendor, reseller, etc. Contractor is also responsible for receiving and processing any Customer purchase order in accordance with the Contract and forwarding of the Purchase Order to the designated distributor, vendor, reseller, etc. to complete the sale or service. H-GAC reserves the right to reject any entity acting on the Contractor’s behalf or refuse to add entities after a contract is awarded.

  • Legal Action; Utilization of Special Receivership Powers The Assuming Institution shall notify the Receiver in writing (such notice to be given in accordance with Article V below and to include all relevant details) prior to utilizing in any legal action any special legal power or right which the Assuming Institution derives as a result of having acquired an asset from the Receiver, and the Assuming Institution shall not utilize any such power unless the Receiver shall have consented in writing to the proposed usage. The Receiver shall have the right to direct such proposed usage by the Assuming Institution and the Assuming Institution shall comply in all respects with such direction. Upon request of the Receiver, the Assuming Institution will advise the Receiver as to the status of any such legal action. The Assuming Institution shall immediately notify the Receiver of any judgment in litigation involving any of the aforesaid special powers or rights.
