Ongoing Due Diligence. The Account Holder, including any authorised attorneys thereto, are subject to Finductive’s ongoing due diligence process. The Account Xxxxxx agrees to provide all required information and documentation as requested from time to time. Furthermore, the Account Holder shall immediately inform Finductive of any change to the information that was previously provided as part of the Application Process or provided as part of the ongoing due diligence process. Failure to provide such information in a timely manner shall be considered a breach of this Contract. Finductive shall not be held liable for any damages that may ensue to the Account Holder or any third party arising from such breach.
Ongoing Due Diligence. The Agent's ongoing due diligence investigation shall not disclose information, or the Agent shall not otherwise discover information not previously disclosed to it, that the Agent believes has had or could have a Materially Adverse Effect.
Ongoing Due Diligence. The Parties hereby acknowledge and agree that subsequent to the execution of this Agreement and prior to Closing, ACS shall conduct such further due diligence as it deems in its sole discretion to be reasonably necessary for Closing.
Ongoing Due Diligence. During the Term, each of the PHL Parties shall provide to each of the LCM Parties such materials and documents regarding each of the PHL Parties as such LCM Party may reasonably request in order to permit the LCM Parties to evaluate the PHL Parties; provided, however, that such materials and documents shall be provided at least quarterly.
Ongoing Due Diligence. The Buyer shall be satisfied with the results of its ongoing due diligence work concerning the Corporation, including but not limited to their review of its business, operations and affairs, the Corporation’s facilities, lease agreements, customer and supplier relationships, management, technology, product, sales and marketing processes, present financial condition and financial forecasts, the Financial Statements, the Material Contracts, financial agent’s fees and commissions, accounting systems and financial controls.
Ongoing Due Diligence. X. Xxxx shall periodically review its procedures and systems for detecting patterns or trends in Customer order data or other information used to evaluate whether a Customer is maintaining effective controls against diversion.
