Omnibus Plan. If Executive receives Awards (as defined therein) under the Omnibus Plan and a Change in Control occurs as determined under the Omnibus Plan, then Executive shall be entitled to the lapse of transfer restrictions imposed on any Award granted to Executive under the Omnibus Plan, all as determined under and subject to the terms of the Omnibus Plan.
Omnibus Plan. Each Equity Award granted by the Company under the Company’s Omnibus Plan was granted (i) in accordance with the terms of the Omnibus Plan and (ii) with an exercise price at least equal to the fair market value of the Common Shares on the date such Equity Award would be considered granted under GAAP and applicable Law. No Equity Award granted under the Omnibus Plan has been backdated. The Company has not knowingly granted, and there is no and has been no policy or practice of the Company to knowingly grant, Equity Awards prior to, or otherwise knowingly coordinate the grant of Equity Awards with, the release or other public announcement of material information regarding the Company or its Subsidiaries or their financial results or prospects.
Omnibus Plan. The Employee shall be eligible to participate in the U.S. Xpress Enterprises, Inc. 2018 Omnibus Incentive Plan, at such times and in such amounts as are approved by the Compensation Committee. The target award for 2019 is Restricted Stock Units in an amount that equals 50% of Employee’s Base Salary. Long Term Incentive for future years will be evaluated annually and approved by the Compensation Committee then presented to the employee on an annual basis. Xxxxxxx Employment Agreement
Omnibus Plan. The Employee shall be eligible to participate in the U.S. Xpress Enterprises, Inc. 2018 Omnibus Incentive Plan, at such times and in such amounts as are approved by the Compensation Committee. For 2019, Employee shall be eligible to receive Restricted Stock Units in an amount equal to forty percent (40%) of Employee’s Base Salary as Gard Employment Agreement v.3 prorated for such portion of the year in which Employee performed services for the Company or Haulynx.
Omnibus Plan. In addition to the Base Salary, the Executive shall be eligible to participate in the Company’s omnibus plan which may include a cash payment under the Short-Term Incentive Plan or stock awards under the Long-Term Incentive Plan as determined by the Compensation Committee annually, in its sole discretion.
Omnibus Plan. This Award is granted pursuant to the Omnibus Plan, a copy of which the Award Recipient acknowledges having received. The terms and conditions of the Omnibus Plan are incorporated into this Agreement by reference. If there is a conflict between the provisions of this Agreement and the provisions of the Omnibus Plan, the provisions of the Omnibus Plan will govern. Capitalized terms not otherwise defined in this Agreement have the meanings set forth in the Omnibus Plan.
Omnibus Plan. The board of directors of Parent and the Parent Common Stockholders shall, in consultation with the Company, approve and adopt the Omnibus Plan in the manner prescribed under the Code and other applicable Laws, effective as of the day before the Closing Date.
Omnibus Plan. “Omnibus Plan” shall mean the Xxxxxx Xxxxxxx AG Omnibus Incentive Plan and any successor plan thereto.
