Obligations to Employer. Employee agrees that he will not engage in any other employment, consulting, or other business activity, except as authorized by the Xxxx X. Xxxxx in his capacity as Chairman and/or Chief Executive Officer of Employer. The Employer has reviewed the activities that Employee has disclosed that Employee is conducting at the time of this Agreement and agrees that they, and any substitute activities that are similar in nature and scope, will not significantly interfere with Employees performance of the responsibilities of Employee’s employment under this Agreement. In addition, while Employee renders services to the Employer, you will not assist any person or entity in competing with the Employer, in preparing to compete with the Employer or in hiring any employees or consultants of the Employer. As an employee, Employee will also be expected to comply with the Employer’s policies and procedures.

Obligations to Employer. To the extent permitted under section 409A of the Code, if the Committee acting on the Employer’s behalf determines that any Participant has outstanding any debt, obligation, or other liability representing an amount owing to or guaranteed by the Employer, that Participant’s benefits shall be calculated in accordance with all other applicable provisions of this Plan, then reduced by the amount of such debt, obligation, or other liability prior to payment of benefits to the Participant pursuant to Article VIII above.

Except as set forth in the Citizens Disclosure Letter, all obligations and liabilities of Citizens and the Subsidiaries, whether arising by operation of law, by contract, or by past custom, for all forms of compensation which are or may be payable to their current or former directors, officers, employees or agents have been and are being paid, and adequate accruals and/or reserves for payment therefore have been and are being made in accordance with generally accepted accounting principles, except where the failure to pay any such obligations and liabilities or to maintain adequate accruals and/or reserves for payment thereof would not have a Material Adverse Effect. All accruals and reserves referred to in this Section 5.13 are correctly and accurately reflected and accounted for in the books, statements and records of Citizens and the Subsidiaries, except where the failure to correctly and accurately reflect and account for such accruals and reserves would not have a Material Adverse Effect.

  • Obligations of Employer Within 3 weeks of receiving an application for parental leave the employer notify in writing the employee of their entitlement to parental leave and whether their position will be kept open. Subject to the position not being both a key position and one it which is not practical to employ someone on a fixed term agreement as a replacement then the employer shall keep the employee’s position open for them on their return to work.
