OBLIGATION TO KEEP RECORDS. During the Term and for a period of six (6) Years after the Termination Date of this Framework Agreement takes effect, the Supplier shall keep or cause to be kept full and accurate records, including: Management Information that is checked and signed off by a senior officer of the Supplier, who understands the obligations and requirements of this Framework Agreement; copies of all invoices for the supply of Electricity Products and the provision of Additional Goods, Works and Services and receipts confirming payment; invoices from the Authority for the Commission and receipts received confirming payment; all executed versions of the Customer Contracts and any variations to them and all notices given or received under them; all completed Orders for the provision of Additional Goods, Works and Services to Customers and any variations to them; all LECs bought for Customers and all associated documentation; records of any failure to meet the KPIs and any corrective action taken relating to the monitoring of this Framework Agreement or the Customer Contracts; records relating to the investigation and resolution of Disputes; all accreditations as to external security, quality, environmental management and similar accreditations; and all such documents, calculations, methodologies, accounts, reports, correspondence, information and other evidence (in whatever form) to support the verification of the above, (together, the Records).
OBLIGATION TO KEEP RECORDS. If I keep and maintain current written records of Inventions covered by Section 3 and Works covered by Section 4 and Trademarks covered by Section 5, the records may be in the form of notes, sketches, drawings, flow charts, electronic data or recordings, laboratory notebooks, software code (including source code) or any other format. OBLIGATION TO KEEP RECORDS. During the term of this Agreement and for a minimum of two (2) years after the termination of this Agreement, Licensee shall maintain a complete, clear, and accurate record of the number, description and aggregate gross selling prices of the Fuel Cell Products produced or sold. To ensure compliance with the terms of this Agreement, Anuvu shall have the right to inspect and audit all the relevant accounting and sales books and records of Licensee conducted by Anuvu or an independent certified public accountant whose fee shall be paid by Anuvu. Any such audit shall be conducted during regular business hours upon seven (7) days prior written notice at Licensee's offices and in such a manner as to not unreasonably interfere with Licensee's normal business activities. In no event shall audits be made hereunder more frequently than every six (6) months. If such inspections should disclose any underreporting, Licensee shall promptly pay to Anuvu such amounts, together with the audit costs if the underreporting is greater than five percent (5%).

All Managers shall have full and unrestricted access at reasonable times and places, and with reasonable notice to the relevant Officers, to all documentation and information concerning the Company and its Subsidiaries. Each Officer shall have an obligation to make any and all information concerning the Company and Subsidiaries (including information related to financial statements, bookkeeping, projects and other affairs) available to the relevant requesting Manager as soon as practicable following the first demand and shall provide answers to the relevant Manager’s question upon receipt of relevant request (such information shall be provided and made available promptly and as soon as practicable after receipt of relevant request). Any Officer who is willfully in breach of its obligations under this Section 6.8.1 shall be removed from office by action of the Board following a request from any Manager in writing, and accompanied by reasonably detailed support for such request.
