Notice of Trigger Event. The Lender and the Subordinated Creditor each agree that it will notify the other if it receives actual notice of the occurrence of a Trigger Event or Subordinated Creditor Enforcement Event, respectively, not later than 30 days after the date of any such occurrence, such notices to be sent in accordance with Section 5.06. The foregoing to the contrary notwithstanding, the Lender and the Subordinated Creditor shall not incur any liability to the other for the failure to provide any such notice so long as the failure to so provide such notice was not the result of wilful misconduct, bad faith, or gross negligence.

Upon receipt of such telephonic notice, and until the receipt by PNB of a written notice rescinding such telephonic notice, PNB shall immediately discontinue transferring any and all funds from the Concentration Account except in the manner specified by ASCC from time to time and neither York nor any other Person claiming on behalf of or through York shall have any right, whether express or implied, or authority to make use of, or withdraw any funds from, the Concentration Account, except as expressly provided for herein.
Notice of Trigger Event. The Lender agrees that it will notify the other Parties hereto if it (i) receives actual notice of the occurrence of a Trigger Event or (ii) has actual knowledge of a Trigger Event arising out of the failure to pay principal, premium, interest or reimbursement obligations, in each case not later than 30 days after the date of any such occurrence, in accordance with Section 8.06. The Subordinated Creditor agrees that it will notify the other Parties hereto if it receives actual notice of the occurrence of a Subordinated Creditor Enforcement Event not later than 30 days after the date of any such occurrence, in accordance with Section 8.06.
Notice of Trigger Event. The Company shall provide to each Holder not less than thirty (30) days prior written notice of any Trigger Event, which notice shall also contain the material terms and conditions of the Trigger Event.
Notice of Trigger Event. The Maguire Members shall promptly advise the Managing Member or any chaxxx xx the condition, financial or otherwise, of the Company or any Subsidiary which has had or could reasonably be expected to have any Material Adverse Effect, or of the occurrence of any Trigger Event or the commencement or termination of a Suspension Period or of any event that, with the giving of notice or the passage of time, could reasonably become a Trigger Event or cause the commencement or termination of a Suspension Period.
Notice of Trigger Event. The Collateral Agent and the Subordinated Creditor each agree that it will use best efforts to notify the other if it receives actual notice of the occurrence of a Trigger Event or Subordinated Creditor Enforcement Event, in accordance with Section 5.06; provided, however, that, except as provided in Section 2.02(b), neither of such Parties shall be liable to the other for failure to send such notice, nor shall they have any duty of inquiry to one another in respect of the occurrence of a Trigger Event or Subordinated Creditor Enforcement Event.
Notice of Trigger Event. Nektar shall immediately notify Amgen upon the occurrence of a Trigger Event. Such notice shall include, at a minimum, a description at a reasonable level of detail of the nature of the Trigger Event.
