No New Information. The Administrative Agent shall not have become aware of any new information or other matters not previously disclosed to the Administrative Agent relating to any Credit Party, the Receivables, any Servicer, or the transactions contemplated herein which the Administrative Agent, in its reasonable judgment, deems inconsistent in a material and adverse manner with the information or other matters previously disclosed to the Administrative Agent relating to such Persons or transactions.
No New Information. The Investor shall not have become aware of any information or other matter with respect to legal matters affecting the Company that is inconsistent with the financial and other information disclosed to the Investor prior to the date hereof, in a manner that constitutes or would reasonably be expected to have a Material Adverse Effect.
No New Information. Neither of the Lead Agents shall have become aware, since September 30, 2010, of any new information or other matters not previously disclosed to such Lead Agent relating to the Borrower, CPS or its Subsidiaries or the transactions contemplated herein which such Lead Agent, in its reasonable judgment, deems inconsistent in a material and adverse manner with the information or other matters previously disclosed to such Lead Agent relating to the Borrower, CPS or its Subsidiaries.
No New Information. Neither the Administrative Agent nor the Required Lenders shall have become aware, since December 31, 2021, of any new information or other matters not previously disclosed to the Administrative Agent and the Required Lenders relating to any Credit Party or their respective Affiliates or the transactions contemplated herein that the Administrative Agent or the Required Lenders, in their reasonable judgments, deems inconsistent in a material and adverse manner with the information or other matters previously disclosed to the Administrative Agent and the Required Lenders relating to the Credit Parties or their respective Affiliates or the transactions contemplated herein.
No New Information. (i) Administrative Agent shall not have become aware after July 22, 2008 of any information or other matter affecting Holdings or any of its Subsidiaries or any of the Transactions that in Administrative Agent’s reasonable judgment is inconsistent in a material and adverse manner with any such information or other matter disclosed to Administrative Agent prior to July 22, 2008.
No New Information. The Lenders shall not have become aware of any previously undisclosed information which would be reasonably likely to have a Material Adverse Effect;
No New Information. Other than changes occurring in the ordinary course of business, no information or materials are or should have been available to any Credit Party, Company Party, or any of their respective Subsidiaries as of the Closing Date that are materially inconsistent with the material previously provided to any Agent (or its designees) for its due diligence review of the Credit Parties and Company Parties and their respective Subsidiaries.
No New Information. First Union shall not have become aware of any information or other matter with respect to legal matters affecting Xxxxxxx that is inconsistent with the financial and other information disclosed to First Union prior to the date hereof including the disclosures in the Registration Statement as filed with the SEC on the date hereof, in a manner that constitutes or would reasonably be expected to have a Material Adverse Effect.
No New Information. The Administrative Agent shall not have discovered or otherwise become aware of any information, circumstance, development or other matter not previously disclosed to the Administrative Agent that the Administrative Agent believes to be inconsistent in a material and adverse manner with its understanding, based on the information provided to the Administrative Agent prior to the Effective Date, of (a) the business, assets, liabilities, operations, condition (financial or otherwise), prospects, operating results or the Projections of the Borrower and its Subsidiaries taken as a whole or (b) the transactions contemplated by the Loan Agreement (as expressly modified hereby);
No New Information. No Purchaser shall have become aware of any information or other matter affecting the Company, any of its Subsidiaries or the GameSpy Acquisition that in its judgment is inconsistent in a material and adverse manner with the information disclosed to such Purchaser prior to the date hereof, taken as a whole.
