If a Holder shall dispute such determination and the parties cannot otherwise resolve the dispute promptly and in good faith, then the dispute shall be resolved in accordance with Section 5.01(j). It is the intent of the parties hereto that, after giving effect to any exercise of the Warrants, the Holder(s) of the warrants or Warrant Securities would collectively be the owner of 4.144% of the Common Stock and Common Stock Equivalents (or have the right to acquire 4.144% of the Common Stock and Common Stock Equivalents outstanding as such amount may be adjusted in the event of a cashless exercise of the Warrants according to Section 2(a)(ii) or (iii) thereof or other adjustments contemplated herein), except such percentage may be reduced as a consequence of an issuance of Common Stock not requiring any adjustment in the Exercise rice under this Article V.
