No Adverse Interest of Custodian. By execution of this Agreement, the Custodian represents, warrants and covenants that it currently does not hold, and during the existence of this Agreement shall not hold, any adverse interest, by way of security or otherwise, in any Mortgage Loan.
No Adverse Interest of Custodian. By execution of this Custodial Agreement, the Custodian represents and warrants that it currently holds, and during the existence of this Custodial Agreement shall hold, no interest adverse to the Trustee, by way of security or otherwise, in any Mortgage Loan, and hereby waives and releases any such interest which it may have in any Mortgage Loan as of the date hereof.

The Mortgage Loans shall not be subject to any security interest, lien or right to set-off by Custodian or any third party claiming through Custodian, and Custodian shall not pledge, encumber, hypothecate, transfer, dispose of, or otherwise grant any third party interest in, the Mortgage Loans.

By execution of this Custodial Agreement, the Custodian represents and warrants that it currently holds, and during the existence of this Custodial Agreement shall hold, no adverse interest, by way of security or otherwise, in any Loan, and hereby waives and releases any such interest which it may have in any Loan as of the date hereof. The Loans shall not be subject to any security interest, lien or right to set-off by the Custodian or any third party claiming through the Custodian, and the Custodian shall not pledge, encumber, hypothecate, transfer, dispose of, or otherwise grant any third party interest in, the Loans.
No Adverse Interest of Custodian. By execution of this Agreement, Custodian represents and warrants that it currently holds, and during the existence of this Agreement shall hold, no adverse interest, by way of security or otherwise, in any Delivered Mortgage Loan or Purchased Mortgage Loan, and hereby waives and releases any such interest which it may have in any Delivered Mortgage Loan or Purchased Mortgage Loan as of the date hereof. The Delivered Mortgage Loans and the Purchased Mortgage Loans shall not be subject to any security interest, lien or right of set-off by Custodian or any third party claiming through Custodian, and Custodian shall not pledge, encumber, hypothecate, transfer, dispose of, or otherwise grant any third party interest in, the Purchased Mortgage Loans.
No Adverse Interest of Custodian. By execution of this Agreement, the Custodian represents and warrants that it currently holds, and during the existence of this Agreement it shall hold, no adverse interest, by way of security or otherwise, in any Receivable or File, and hereby waives and releases any such interest which it may have in any Receivable or File as of the date hereof.
No Adverse Interest of Custodian. By execution of this Custodial Agreement, the Custodian, in its capacity as custodian and not in its individual capacity, represents, warrants and covenants that it currently holds, and during the existence of this Custodial Agreement shall hold, no interest adverse to the Lender or to any Borrower by way of security or otherwise, in any Contract Delivery Documents held by it as of the date hereof or to be held by it pursuant to this Custodial Agreement. The Custodian, in its capacity as custodian under the terms of this Custodial Agreement and not in its individual capacity, also agrees that it will not, and hereby waives any right to, exercise any right of setoff or counterclaim in respect of any lien, statutory or otherwise, against the Lender, its parent, Subsidiaries, or Affiliates, or against any Borrower, its Subsidiaries or Affiliates.
No Adverse Interest of Custodian. By execution of this Agreement, the Custodian represents and warrants that it currently holds, and during the existence of this Agreement shall hold, no adverse interest, by way of security or otherwise, in any XXX, and hereby waives and releases any such interest which it may have in any XXX as of the date hereof.

By execution of this Agreement, the Custodian represents and warrants that it currently holds, and during the existence of this Agreement shall hold, no adverse interest, by way of security or otherwise, in any Purchased Mortgage Loan, and hereby waives and releases any such interest which it may have in any Purchased Mortgage Loan as of the date hereof. The Purchased Mortgage Loans shall not be subject to any security interest, lien or right of set-off by Custodian or any third party claiming through Custodian (other than in the ordinary course of business), and Custodian shall not pledge, encumber, hypothecate, transfer, dispose of, or otherwise grant any third party interest in, the Purchased Mortgage Loans.
No Adverse Interest of Custodian. By execution of this Custodial Agreement, Custodian warrants that it currently does not hold and during the existence of this Custodial Agreement shall not hold, any adverse interest, by way of security or otherwise, in any Deliverable, Deliverable Package, Collateral File and the collateral contained therein or Possessory Collateral.
