Nature of Liabilities. All Liabilities assumed or retained by a member of the Xxxxxxx Group under this Agreement shall be Xxxxxxx Retained Liabilities for purposes of the Separation Agreement. All Liabilities assumed or retained by a member of the Veralto Group under this Agreement shall be Veralto Liabilities for purposes of the Separation Agreement.
Nature of Liabilities. All Liabilities assumed or retained by a member of the Company Group under this Agreement shall be “Ligand Retained Liabilities” for purposes of the Separation Agreement. All Liabilities assumed or retained by a member of the SpinCo Group under this Agreement shall be “OmniAb Liabilities” for purposes of the Separation Agreement.
Nature of Liabilities. All Liabilities assumed or retained by a member of the DevCo Group under this Agreement shall be DevCo Liabilities for purposes of the Separation Agreement. All Liabilities assumed or retained by a member of the SpinCo Group under this Agreement shall be SpinCo Liabilities for purposes of the Separation Agreement.
Nature of Liabilities. All Liabilities assumed or retained by a member of the Fortive Group under this Agreement shall be Fortive Retained Liabilities for purposes of the Separation Agreement. All Liabilities assumed or retained by a member of the Vontier Group under this Agreement shall be Vontier Liabilities for purposes of the Separation Agreement.
Nature of Liabilities. All Liabilities assumed or retained by Cousins under this Agreement shall be Cousins Liabilities for purposes of the Separation and Distribution Agreement. All Liabilities assumed by New Parkway under this Agreement shall be New Parkway Liabilities for purposes of the Separation and Distribution Agreement.
Nature of Liabilities. All Liabilities assumed or retained by a member of the New Worthington Group under this Agreement shall be New Worthington Retained Liabilities. All Liabilities assumed or retained by a member of the Worthington Steel Group under this Agreement shall be Worthington Steel Liabilities.
Nature of Liabilities. All Liabilities assumed or retained by a member of the IP RemainCo Group under this Agreement shall be IP Liabilities for purposes of the Separation Agreement. All Liabilities assumed or retained by a member of the Product SpinCo Group under this Agreement shall be Product Liabilities for purposes of the Separation Agreement.
Nature of Liabilities. Any and all obligations and liabilities in respect of this Agreement (including, without limitation, the Notes and the other Loan Documents) on the part of Borrower and its Subsidiaries shall be joint and several. Any and all obligations and liabilities in respect of this Agreement (including, without limitation, the Notes and the other Loan Documents) on the part of one or more of the Agent and the Banks shall be several and not joint.
Nature of Liabilities. All Liabilities assumed or retained by a member of the Cummins Group under this Agreement shall be Cummins Retained Liabilities for purposes of the Separation Agreement. All Liabilities assumed or retained by a member of the Filtration Group (or assumed, retained or allocable to the GEO) under this Agreement shall be Filtration Liabilities for purposes of the Separation Agreement.
Nature of Liabilities. All Liabilities assumed or retained by a member of the Enovis Group under this Agreement shall be Enovis Retained Liabilities. All Liabilities assumed or retained by a member of the ESAB Group under this Agreement shall be ESAB Liabilities.
