Manager Services. 6.1. The Manager will manage the Investor’s Subscription (less the Investment Fee and Dealing Fee) and Portfolio and exercise all discretionary investment powers in relation to the selection of or exercising rights relating to Investments including, for the avoidance of doubt, any issue, sale, cancellation, transfer or acquisition of Shares for the Investor’s Portfolio and any conversion, subscription, voting or other rights relating to Investments (and the Investor hereby irrevocably authorises and empowers the Manager in this regard), in each case in accordance with the Investment Strategy in furtherance of the Investment Objectives and upon, and subject to, the terms of this Agreement.
Manager Services. Manager shall provide operating company oversight functions for Owner in connection with the Assets, which services (the “Manager Services”) may include, but shall not be limited to, the following:

During the Term of this Agreement, Manager shall be responsible for the set up, maintenance, administration, operation and management of the Crowdfunding Platform and shall provide all services typically required by Crowdfunding Platform of a similar type and size, including, but not limited to the following, which shall collectively be referred to herein as the ‘‘Manager Services”, all with prior written approval from Company in each event:

Manager Services. Manager’s services to the Company hereunder shall include servicing the company in the financial department and executing the relative tasks provided by the Board of Directors in order to manage the business of the Company in accordance with applicable law and the then current Articles, and such other services mutually agreed by the Manager and the Company (the “Manager Services”).
Manager Services. 2.1 Services to be provided by Manager. For and in consideration of the Management Fee and other consideration as set forth herein, Manager shall perform all management and administrative services as may be required by EEP for the reasonable conduct of the Business as hereafter conducted, including the following:

During the Management Period, the Manager shall have authority to do all acts necessary for the proper operation of the Practice including providing the following Services: To act as an employed locum solicitor. To employ such staff as may be necessary, including a locum solicitor, or a bookkeeper, for the purpose of carrying on the business of the Practice. To take new instructions from clients. To continue to deal with matters where instructions were provided to the Practice prior to this Agreement coming into effect. To operate the client accounts of the Practice in relation to clients’ monies received, held, or paid in accordance with the Solicitors Accounts Regulations 2014 or any successor to those regulations. To operate the office accounts of the Practice to pay necessary overheads, operating within approved overdraft limits, if any. To pay the necessary amounts to fund day to day and other appropriate expenses from the office account of the Practice, subject to funds being available and in consultation with the firm’s accountants. To pay the practitioner’s [nominated persons] necessary amounts to fund day to day and other appropriate expenses from the office account of the Practice, subject to funds being available and in consultation with the firm’s accountants. To negotiate additional loan facilities for the firm. Where necessary, to complete the required forms to apply for professional indemnity insurance cover for the Practice, seek quotes for and obtain a qualifying policy of professional indemnity insurance from brokers or insurers in accordance with the relevant professional indemnity insurance regulations in force. To sign letters, give undertakings and certify title. To deal with all human resource matters relating to staff. Attend to the [day-to-day] operations of the Practice (e.g. concerning [specify]); To carry on the business of the Practice under its existing name and take all reasonable steps to preserve the goodwill of the Practice.
Manager Services. 5.5. in the event of any loss in value of such Investments or the insolvency of any bank with which Investor’s funds are deposited, nor will they be so liable in the event of any restriction on their ability to withdraw funds from such bank or dispose of or realise Shares for reasons beyond the reasonable control of any of them.
Manager Services. Client understands that Manager is a management consulting firm, is not licensed to sell securities, is not a licensed accounting practice nor licensed to practice law. Governing Law: The execution, interpretation, and performance of this Agreement shall in all respects be controlled and governed by the laws of the State of Oklahoma. Any civil action or legal proceeding arising out of or relating to this Agreement shall be brought solely in the local court in Edmond, Oklahoma for state actions and for federal actions. Each party consents to the sole and proper jurisdiction of such courts in any such civil action or legal proceeding and waives any objection to the laying of venue of any such civil action or legal proceeding in such courts.
Manager Services. Manager agrees to use its reasonable efforts to provide management services for the Receivables as requested from time to time by Palisades. Such management services shall include services which Manager currently customarily provides to other owners of consumer receivables (including affiliates of Manager) in the ordinary course of Manager’s business. Such services may include, but not be limited to, strategic planning related to the servicing of the Receivables, skip tracing, asset searching and determination of suit worthiness of the Receivables, litigation tracking and monitoring of all Receivables placed for legal collection, IT management and analytical services, and such other services as Manager is reasonably capable of providing to Palisades. * Confidential
