Lien on Assets. If the Fund requires State Street to advance cash or securities for any purpose or in the event that State Street or its nominee shall incur or be assessed any taxes, charges, expenses, assessments, claims or liabilities in connection with the performance of this Agreement, except such as may arise from its or its nominee's own negligent action, negligent failure to act or willful misconduct, any property at any time held for the account of the Fund shall be security therefor and should the Fund fail to repay State Street promptly, State Street shall be entitled to utilize available cash and to dispose of the Fund assets to the extent necessary to obtain reimbursement.

Lien on Assets. If a Portfolio requires Provident to advance cash or securities for any purpose or in the event that Provident or its nominee shall incur or be assessed any taxes, charges, expenses, assessments, claims or liabilities in connection with the performance of this Agreement, except such as may arise from its or its nominee's own negligent action, negligent failure to act or willful misconduct, any property at any time held for the account of a Portfolio shall be security therefor and should the Portfolio fail to repay Provident promptly, Provident shall be entitled to utilize available cash and to dispose of the Portfolio's assets to the extent necessary to obtain reimbursement; provided, however, that the total value of any property of the Portfolio which at any time is security for any payment by Provident hereunder shall not exceed 15% of the Portfolio's total net asset value.

Nothing contained in this Indenture prevents any entity other than the Company from mortgaging, pledging, or subjecting to any lien any of its property or assets, whether or not acquired from the Company or the Guarantor.

Nothing contained in this Indenture prevents an Affiliate of the Company from mortgaging, pledging or subjecting to any lien any property or assets, whether or not acquired by such Affiliate from the Company.
Lien on Assets. If at any time the Company mortgages, pledges or otherwise subjects to any lien the whole or any part of the capital stock of the Student Loan Marketing Association, except as provided in this Section 4.03, the Company shall secure the outstanding Securities, and any other obligations of the Company which may then be outstanding and entitled to the benefit of a covenant similar in effect to this covenant, either on a priority basis or equally and ratably with the indebtedness or obligations secured by such mortgage, pledge or lien, for as long as any such indebtedness or obligation is so secured. The foregoing covenant does not apply in the event the Board of Directors determines, in its sole discretion, that such mortgage, pledge or lien on the capital stock of the Student Loan Marketing Association could not reasonably be expected to detract or interfere in any material respect from the fair market value of such capital stock or the control of such capital stock by the Company. Notwithstanding the foregoing, nothing contained in this Indenture is intended to prevent the Company from mortgaging, pledging or subjecting to any lien any of the other properties or assets of the Company, or from selling or otherwise disposing of any of the properties or assets of the Company, including the capital stock of the Student Loan Marketing Association.

Lien on Assets. If the Insurance Company on behalf of the Account requires the Custodian, its affiliates, subsidiaries or agents, to advance cash or securities for any purpose (including but not limited to securities settlements, foreign exchange contracts and assumed settlement) or in the event that the Custodian or its nominee shall incur or be assessed any taxes, charges, expenses, assessments, claims or liabilities in connection with the performance of this Agreement, except such as may arise from its or its nominee’s own negligent action, negligent failure to act, bad faith, or willful misconduct, any property at any time held for the account of the Account shall be security therefor and should the Account fail to repay the Custodian promptly, the Custodian shall be entitled to utilize available cash and to dispose of the Account’s assets to the extent necessary to obtain reimbursement.
Lien on Assets. Upon the written request of Lender at any time from and after the date which occurs one hundred twenty (120) days after the date of this Agreement, the Borrower will promptly, and in any event within thirty (30) days after the date of such written request, execute and deliver to Lender such security agreements, and take such further action necessary to grant in favor of Lender a first priority perfected security interest in and lien upon all of Borrower's assets, tangible and intangible, whether personal property or real property. Borrower agrees to take all action necessary or reasonably requested by Lender to perfect such liens and ensure that such liens have priority over all Liens other than Permitted Liens.
