Licensing and Crown Lease. Pursuant to the Energy Act 2008 the following activities require a licence: exploring the area; converting the area to a storage site; using the area for CO2 storage; establishing any installations to facilitate storage activities (S. 17 Energy Act 2008). The requirements of the CCS Directive regarding environmental impacts have, amongst others, been implemented in the: Environmental Damage Prevention and Remediation Regulations 2009118; Section 15 CO2 Storage Regulations, which lists those activities causing damage for which liability exists; Section 9 of The Greenhouse Gas Emissions Trading Scheme Regulations 2012119 requiring the operators to have a greenhouse gas emissions licence. A licence pursuant to Section 18 Energy Act 2008 can be awarded by the Oil and Gas Authority (OGA) or any of the devolved authorities in Scotland, Wales or Northern Ireland.120 Each of these licensing authorities is entitled to issue further regulations for licensing and the licence provisions (S. 19 and S. 20 Energy Act 2008). These licence requirements are included in ‘The Storage of Carbon Dioxide (Licensing etc.) Regulations 2010’ (hereinafter: CO2 Storage Regulations)121, which by and large implement the main parts of the CCS Directive. Hence, it provides for two different authorisations: an exploration licence (S. 2-5 CO2 Storage Regulations) and a permit to inject and store CO2 in the subsoil (S. 6-8 CO2 Storage Regulations). Applicants for an exploration licence need to state the period they need to licence or why exploration is not required (S. 3 CO2 Storage Regulations). The licence period should be sufficient to assess the site and prepare for an application for a storage licence. Rules on enforcement, e.g. unlicensed activities, non-compliance of the licence/licence conditions and failure to comply with instructions by the competent authorities, are included in the Energy Act 2008 (S. 20-28 Energy Act 2008). In addition to the requirement to have a storage permit, the Energy Act 2008 requires the operator must also have a lease agreement with the Crown Estate (S. 18(3) Energy Act 2008). The Crown Estate is a statutory corporation, vested with the responsibility to manage property forming part of the Crown Estate, which includes the seabed of the UK Continental Shelf.   • Software Licensing Contractor represents and warrants that the software, if any, as delivered to City, does not contain any program code, virus, worm, trap door, back door, time or clock that would erase data or programming or otherwise cause the software to become inoperable, inaccessible, or incapable of being used in accordance with its user manuals, either automatically, upon the occurrence of licensor-selected conditions or manually on command. Contractor further represents and warrants that all third party software, delivered to City or used by Contractor in the performance of the Contract, is fully licensed by the appropriate licensor.

  • Sublicensing Licensee shall have the right to grant sublicenses or to assign any or all of the rights granted hereunder only to an entity which has been approved in writing by CSMC (each, “Permitted Sublicensee”). Any such Permitted Sublicensee shall be subject in all respects to the provisions contained in this Agreement and Licensee will remain primarily liable to CSMC for, and shall be responsible for monitoring and enforcing, performance of all of Licensee’s obligations hereunder by any such Permitted Sublicensee. Without limiting the generality of the foregoing, as an express condition of any such sublicense, any such Permitted Sublicensee shall be required to agree in writing to be bound by commercially reasonable reporting and record keeping, indemnification and inspection provisions, and the applicable provisions of this Agreement, including, without limitation, those pertaining to the use of CSMC’s name and marks, indemnification of CSMC and the use of CSMC’s Confidential Information. Permitted Sublicensees may not further sublicense without CSMC’s prior written consent, which consent shall not be unreasonably withheld. Licensee shall promptly forward to CSMC a copy of any and all fully executed sublicense agreements, any subsequent amendments, and all copies of Permitted Sublicensees’ profit sharing or royalty reports, in no event more than thirty (30) days following execution or receipt thereof, as applicable. Licensee shall also keep CSMC reasonably informed with respect to the progress of any relations entered into with any Permitted Sublicensees. If Licensee shall conduct one or more audits of its Permitted Sublicensees hereunder during the term hereof, Licensee shall provide copies of all audit reports to CSMC on a timely basis. The covenants pertaining to the use of CSMC’s name and marks, the indemnification of CSMC and the use of CSMC’s Confidential Information in any sublicense or assignment shall run for the benefit of CSMC, who shall be expressly stated as being a third-party beneficiary thereof with respect to the covenants set forth in this Agreement. Licensee understands and agrees that none of its permitted sublicenses hereunder shall reduce in any manner any of its obligations set forth in this Agreement.

  • Commercial Driver’s License As a result of recent Federal statutory requirements, the State of Michigan enacted Act 346 of 1988. The parties agree that as a result of these statutory requirements some employees within the Technical Bargaining Unit may be required to obtain and retain a Commercial Drivers License (CDL) to continue to perform certain duties for the State. Whenever a CDL is referred to in this Section, it is understood to mean the CDL and any required endorsements. In order to implement this provision, the parties agree to the following:

  • Software License Agreement 1) Customers acquiring software licenses under the Contract shall hold, use and operate such software subject to compliance with the Software License Agreement set forth in Appendix D of this Contract.
