Legal Requirement to Disclose. 5.1 If the Recipient or any of the Recipient’s Team is or becomes legally required to disclose any Confidential Material to a government body or court of law, the Recipient agrees, to the extent permissible by law, to give, and will ensure that the Recipient’s Team give, the City sufficient advance notice to enable the City the opportunity to contest the disclosure or obtain a protective order.
Legal Requirement to Disclose. In the event that the Consultant or to the Consultant’s knowledge anyone to whom the Consultant transmits the Confidential Information pursuant to this Agreement becomes legally compelled to disclose any of the Confidential Information, the Consultant will provide the Company with prompt notice, if lawful, so that the Company may seek a protective order or other appropriate remedy or waive compliance with the provisions of this Agreement. If such protective order or other remedy is not obtained, or if the Company waives compliance with the provisions of this Agreement, the Consultant will furnish only that portion of the Confidential Information which the Consultant is advised by its counsel is legally required to be furnished.

If a Recipient is required by applicable law, regulation or legal process to disclose any of the Confidential Information of the Discloser, the Recipient will notify the Discloser promptly so that the Discloser may seek a protective order or other appropriate remedy or waive compliance with the terms of this Agreement. If no such protective order or other remedy is obtained or the Discloser does not waive compliance with the terms of this Agreement, the Recipient

In the event that the receiving party becomes legally compelled to disclose any of the disclosing party’s Confidential Information, the receiving party shall provide the disclosing party with prompt notice, if lawful, so that the disclosing party may seek a protective order or other appropriate remedy and/or waive compliance with the provisions of this Agreement. In the event such protective order or other remedy is not obtained, or the disclosing party waives compliance with the provisions of this Agreement, the receiving party shall furnish only that portion of the disclosing party’s Confidential Information which the receiving party is advised by its counsel is legally required to be furnished, and the receiving party shall use its best efforts to obtain assurances that such Confidential Information shall be treated confidentially by the recipient thereof.
Legal Requirement to Disclose. The Lender may in any event disclose information obtained in connection with this Agreement to a third party where such disclosure is required by applicable law or regulation so requires.

ST may disclose Proprietary Items to ----------------------------- other Persons, but only to the extent required under applicable law or by a government order, decree, regulation or rule, provided that ST gives QI reasonable written notice with sufficient opportunity to seek a protective order prior to such disclosure.

Legal Requirement to Disclose. In the event that an Accessing Party is legally compelled, to disclose any Confidential Information, the Accessing Party may disclose such Confidential Information, provided that, the Accessing Party notifies FACILITATOR of the disclosure requirement with sufficient prior notice to allow FACILITATOR to notify the User(s) which provided the requested Confidential Information and to provide such User(s) with a reasonable opportunity to protect its Confidential Information. However, any disclosure permitted under this section must be limited to that portion of the Confidential Information that the Accessing Party is legally required to disclose.
Legal Requirement to Disclose. In the event that either Party, its officers, employees, agents or advisers becomes (or is reasonably likely to become) legally required to disclose any Confidential Information, prompt notice shall be given to the other Party at their address set out above so that the other Party may seek an appropriate remedy to prevent disclosure or waive compliance with the provisions of this agreement preventing disclosure. If either Party or its officers, employees, agents or advisers becomes legally required to disclose any Confidential Information, they will be entitled to do so only to the extent so required and subject to prior consultation with the other Party with a view to agreeing the timing and content of the disclosure.
