Investment and Use of Funds. The Escrow Agent shall invest the Xxxxxxx Money in government insured interest-bearing accounts satisfactory to Buyer and Seller, shall not commingle the Xxxxxxx Money with any funds of the Escrow Agent or others, and shall promptly provide Buyer and Seller with confirmation of the investments made. If the Closing under this Agreement occurs, the Escrow Agent shall apply the Xxxxxxx Money against the Purchase Price due Seller at Closing.

Provided such supplemental escrow instructions are not in conflict with this Agreement as it may be amended in writing from time to time, Seller and Buyer agree to execute such supplemental escrow instructions as may be appropriate to enable Title Company to comply with the terms of this Agreement. For purposes of tax reporting, the Deposit shall be invested on behalf of Buyer, with interest to be paid in accordance with Section 2 of this Agreement. Seller and Buyer agree to execute and deliver to the Title Company originally executed W-9 forms.

Interest earned on the Xxxxxxx Money shall become part of the Xxxxxxx Money. If requested by Escrow Agent, Purchaser shall furnish the Escrow Agent a W-9 within five (5) Business Days after posting the initial Xxxxxxx Money, and interest earned on the Xxxxxxx Money if Closing occurs shall be reported by the Escrow Agent to the Internal Revenue Service as earned for the Purchaser’s account.

(b) In the event Purchaser's terminates this Agreement on or before the last day of the Inspection Period in accordance with Section 3.2 hereof and Purchaser delivers a copy of such notice of termination to the Escrow Agent, Escrow Agent shall be irrevocably obligated to release the Deposit to Purchaser without the need for any joint order or other direction of the parties.
