Information Provider. Information Provider represents and warrants that: It has full right, power, and authority to enter into this Agreement and to grant all rights and interests as contemplated hereunder and that there is nothing known to Information Provider which would prevent it from performing its obligations under the terms and conditions imposed on it by this Agreement. The Content and the licenses granted in accordance with the terms herein do not and will not infringe upon, violate or misappropriate any Intellectual Property Rights or any other proprietary right, contract or other right or interest of any third party. The Content is complete, free of technical defects, and in the format(s) specified on Schedule 1. The Content does and will not include or introduce any computer virus, worm, Trojan horse, disabling device or backdoor to the computer systems used by EP. The Content does not and will not (i) violate the publicity or privacy rights of any third party; (ii) libel or slander any third party; or (iii) contain any scandalous, obscene, or negligently prepared information. Evidentia Publishing. EP represents and warrants that it has full right, power, and authority to enter into this Agreement and that there is nothing known to EP which would prevent it from performing its obligations under the terms and conditions imposed on it by this Agreement.
Information Provider. Information Provider represents and warrants to AOL that it is familiar with the America Online(Reg. TM) brand service and the Global Network Navigator brand service and that the Online Area (i) conforms and will conform to the description set forth in Section 2.1.1; (ii) will conform to AOL's applicable Terms of Service, (iii) will not infringe on or violate any copyright, U.S. patent or any other right of any third party; and (iv) will not contain any content, materials or services which violate any applicable law or regulation.
Information Provider. The Securities Administrator or any successor Rule 17g-5 information provider appointed as provided herein. The Rule 17g-5 Information Provider as of the date hereof is Citibank, N.A.

  • Information Confidential As partial consideration for the granting of the Award hereunder, you hereby agree to keep confidential all information and knowledge, except that which has been disclosed in any public filings required by law, that you have relating to the terms and conditions of this Agreement; provided, however, that such information may be disclosed as required by law and may be given in confidence to your spouse and tax and financial advisors. In the event any breach of this promise comes to the attention of the Company, it shall take into consideration that breach in determining whether to recommend the grant of any future similar award to you, as a factor weighing against the advisability of granting any such future award to you.

  • Transaction Information The Adviser shall furnish to the Trust such information concerning portfolio transactions as may be necessary to enable the Trust or its designated agent to perform such compliance testing on the Funds and the Adviser’s services as the Trust may, in its sole discretion, determine to be appropriate. The provision of such information by the Adviser to the Trust or its designated agent in no way relieves the Adviser of its own responsibilities under this Agreement.

  • Accuracy of Information; Full Disclosure Neither this Agreement nor any documents, financial statements, reports, notices, schedules, certificates, statements or other writings furnished by or on behalf of Borrower to Administrative Agent or any Bank in connection with the negotiation of this Agreement or the consummation of the transactions contemplated hereby, or required herein to be furnished by or on behalf of Borrower (other than projections which are made by Borrower in good faith), contains any untrue or misleading statement of a material fact or omits a material fact necessary to make the statements herein or therein not misleading. To the best of Borrower’s knowledge, there is no fact which Borrower has not disclosed to Administrative Agent and the Banks in writing which materially affects adversely nor, so far as Borrower can now foresee, will materially affect adversely the business affairs or financial condition of Borrower or the ability of Borrower to perform this Agreement and the other Loan Documents.

  • KYC Information (i) Upon the reasonable request of any Lender made at least five (5) days prior to the Closing Date, the Borrowers shall have provided to such Lender, and such Lender shall be reasonably satisfied with, the documentation and other information so requested in connection with applicable “know your customer” and anti-money-laundering rules and regulations, including, without limitation, the PATRIOT Act, in each case at least five (5) days prior to the Closing Date.

  • Furnishing of Information; Public Information (a) Until the earliest of the time that (i) no Purchaser owns Securities or (ii) the Warrants have expired, the Company covenants to maintain the registration of the Common Stock under Section 12(b) or 12(g) of the Exchange Act and to timely file (or obtain extensions in respect thereof and file within the applicable grace period) all reports required to be filed by the Company after the date hereof pursuant to the Exchange Act even if the Company is not then subject to the reporting requirements of the Exchange Act.

  • Maintaining Confidential Information Executive reaffirms his obligations under the Confidentiality Agreement. Executive acknowledges and agrees that the payments provided in Section 3 above shall be subject to Executive’s continued compliance with Executive’s obligations under the Confidentiality Agreement.

  • Information Sources The Custodian may rely upon information received from issuers of Investments or agents of such issuers, information received from Subcustodians and from other commercially reasonable sources such as commercial data bases and the like, but shall not be responsible for specific inaccuracies in such information, provided that the Custodian has relied upon such information in good faith, or for the failure of any commercially reasonable information provider.
