Independent Petroleum Engineers. Each of XxXxxxxx and XxxXxxxxxxx and Xxxxx Xxxxx Company, L.P. have represented to the Company that they are, and the Company believes them to be, independent petroleum engineers with respect to the Company and its subsidiaries for the periods set forth in the most recent Preliminary Prospectus.
Independent Petroleum Engineers. Xxxxx Xxxxx Company, L.P., which has certified certain of the reserve information of the oil and natural gas properties to be acquired by the Company, has represented to the Company that they are, and to the knowledge of the Company they are, independent petroleum engineers in accordance with guidelines established by the Commission.
Independent Petroleum Engineers. Xxxxx Xxxxx Company, the petroleum engineers who have consented to being named as having reviewed certain reserve data included in the General Disclosure Package and the Prospectus, are independent engineers with respect to the Company and its subsidiaries.
Independent Petroleum Engineers. Xxxxx Xxxxx Company, L.P., whose report as of December 31, 2015 is referenced in the Disclosure Package and the Prospectus was, as of the date of such report, and is, as of the date hereof, an independent petroleum engineer with respect to the Company and its subsidiaries.
Independent Petroleum Engineers. XxXxxxxx and XxxXxxxxxxx, which has prepared the reserve information of the Company and its subsidiaries, has represented to the Company that they are, and to the knowledge of the Company are, independent petroleum engineers in accordance with guidelines established by the Commission.
Independent Petroleum Engineers. Each of NSA and Xxxxxx have represented to the Company that they are, and the Company believes them to be, independent petroleum engineers with respect to the Company and its subsidiaries and for the periods set forth in the Time of Sale Information and the Prospectus.
Independent Petroleum Engineers. Xxxxxx, Xxxxxxxxx & Associates, Inc. (“CGA”), whose reserve evaluations are referenced or appear, as the case may be, in the Registration Statement, Disclosure Package and Prospectus were, as of December 31, 2011 and December 31, 2012, and are, as of the date hereof, independent engineers with respect to the Company Parties; and the historical information underlying the estimates of the reserves of the Company supplied by the Company Parties to CGA for the purposes of preparing the reserve reports of the Company referenced in the Registration Statement, Disclosure Package and Prospectus (the “Reserve Reports”), including, without limitation, production volumes, sales prices for production, contractual pricing provisions under oil or gas sales or marketing contracts or under hedging arrangements, costs of operations and development, and working interest and net revenue information relating to the Company’s ownership interests in properties, was true and correct on the date that each such Reserve Report was prepared in all material respects in accordance with Commission rules and customary industry practices. Other than normal production of the reserves, product price fluctuations, and fluctuations of demand for such products, and except as disclosed in the Registration Statement, Disclosure Package and Prospectus, the Company is not aware of any facts or circumstances that would result in a Material Adverse Change in the reserves in the aggregate, or the aggregate present value of the future net cash flows therefrom as described in the Registration Statement, Disclosure Package and Prospectus and as reflected in the Reserve Reports.
Independent Petroleum Engineers. Each of XxXxxxxx and XxxXxxxxxxx, Xxxxx Xxxxx Company, L.P. and Xxxxxx & Co. have represented to the Parent that they are, and the Parent believes them to be, independent petroleum engineers with respect to the Parent and its subsidiaries for the periods set forth in the Time of Sale Information and the Offering Memorandum.
Independent Petroleum Engineers. Each of Netherland, Xxxxxx and Associates, Inc. and Xxxxxx & Company, Inc., whose reports appear in the most recent Preliminary Prospectus and who have delivered the letters referred to in Section 9(i) hereof, were, as of the date of such report, and are, as of the date hereof, independent petroleum engineers with respect to the Company.
Independent Petroleum Engineers. The Reserve Engineer is an independent petroleum engineer with respect to the Company and the Guarantors. Any certificate signed by an officer of the Company or any Guarantor and delivered to the Initial Purchasers or to counsel for the Initial Purchasers shall be deemed to be a representation and warranty by the Company or such Guarantor to each Initial Purchaser as to the matters set forth therein.
