Independent Legal and Financial Advice a. Consultant is not a law firm; neither is it an accounting firm. Consultant does, however, retain professionals in those capacities to better enable Consultant to provide consulting services. Client represent that they have not nor will they construe any of the Consultants' representations to be statements of law. Client has and will continue to seek the independent advice of legal and financial counsel regarding all material aspects of the transactions contemplated by this Agreement, including the review of all documents provided by Consultant to Client and all opportunities Consultant introduces to Client.

Client represents that it has not nor will it rely upon any legal or financial representation made by Consultant, and that Client has and will continue to seek the independent advice of legal and financial counsel regarding all material aspects of the transactions contemplated by this Agreement, including the review of all documents provided by Consultant to Client and all opportunities Consultant introduces to Client. Client acknowledges that the attorneys, accountants and other advisors Consultant works with represent the interests of Consultant solely, and that no representation or warranty has been given to Client by Consultant as to any legal, tax, accounting, financial or other aspect of the transactions contemplated by this Agreement.
Independent Legal and Financial Advice. Each of the Parties to this Agreement acknowledges and agrees that it has been represented by or consulted independent legal counsel of its own choice throughout all negotiations in connection with its the execution of this Agreement and the transactions referred to in this Agreement, and each has obtained whatever financial and tax advice that it deems necessary or appropriate and each Party represents that it:
Independent Legal and Financial Advice. The Vendors have had independent legal advice regarding the execution of this Agreement or have been advised of their respective rights to obtain independent legal and financial advice prior to entering into this Agreement, and if in fact they have not obtained independent legal advice, the Vendors each represent and acknowledge that they understand the contents of this Agreement and that they are executing same voluntarily and without pressure from the other Parties or anyone on their behalf.
Independent Legal and Financial Advice. Each Party hereto hereby acknowledges that such Party (and each of its related principals) has been advised to seek independent legal, tax, investment, and other advice with respect to the execution and delivery of this Agreement and each of the other Closing Documents and has sought such advice or has determined that such advice is not required.

The Borrower acknowledges that Leschert & Company Law Corporation has acted on behalf of the Lender with respect to this Loan and has not in any manner acted in the on behalf of the Borrower in with respect to this transaction or in any aspect thereof and that this Agreement and the Security Documents have been prepared by Leschert & Company Law Corporation on behalf of the Lender only. The Borrower acknowledges that it has been advised to obtain independent legal and financial advice with respect to this Loan Agreement and the transactions contemplated herein and it has not relied on either the Lender or Leschert & Company Law Corporation in assessing the merits of the Loan or in deciding to enter into and perform this Loan Agreement or any of the agreements or instruments contemplated herein.

Such Arizona Shareholder has been advised prior to entering into this Agreement to obtain, and has obtained, such independent legal, financial and other advice as it deems to be necessary or advisable in connection herewith, and waives any claim which it may now or in the future have with respect to this Agreement or the subject matter hereof based in any way on the absence of, lack of access to or shortness of time available to rely on such advice.
Independent Legal and Financial Advice. This Agreement has been prepared by acting solely on behalf of the Purchaser, and the Seller acknowledges that that it has been advised to obtain independent legal advice with respect to entering into this Agreement and each of the other Closing Documents, that it has obtained such independent legal advice or has expressly deemed not to seek such advice, and that it is entering into this Agreement and each of the other Closing Documents with full knowledge of the contents hereof, of its own free will and with full capacity and authority to do so.
