Indebtedness to Remain Outstanding. (a) Set forth on Schedule 3.20(a) hereto is a list and description of all Indebtedness of the Loan Parties and their Subsidiaries (other than the Loans and Indebtedness permitted pursuant to clauses (iii), (iv), (vi), (viii), (ix), (x) and (xv) of Section 6.01) that will be outstanding immediately after the Effective Date (collectively, the “Indebtedness to Remain Outstanding”).

Indebtedness to Remain Outstanding. (o) All requisite material governmental authorities and third parties shall have approved or consented to the Recapitalization Transactions to the extent required, all applicable appeal periods shall have expired and there shall be no judicial or regulatory action by a governmental agency, actual or threatened, that could reasonably be expected to restrain, prevent or impose materially burdensome conditions on the Recapitalization Transactions.
Indebtedness to Remain Outstanding. On the Initial Borrowing Date and after giving effect to the Transaction and the Loans incurred on the Initial Borrowing Date, neither Holdings nor any of its Subsidiaries shall have any preferred stock or Indebtedness outstanding except for the Loans, the Senior Subordinated Notes, the 15% Debentures (but only for 30 days following the Initial Borrowing Date), the Indebtedness to Remain Outstanding, the Holdings Preferred Stock (but only until December 16, 1996) and Indebtedness permitted pursuant to Sections 8.04(d), (f), (g), (h), (i), (j), (k) and (o). On and as of the Initial Borrowing Date, all of the Indebtedness to Remain Outstanding shall remain outstanding after giving effect to the Transaction and the other transactions contemplated hereby without any default or events of default existing thereunder or arising as a result of the Transaction and the other transactions contemplated hereby (except to the extent amended or waived by the parties thereto on terms and conditions satisfactory to the Agents and the Required Banks), and there shall not be any amendments or modifications to the Existing Indebtedness Agreements other than as requested or approved by the Agents or the Required Banks. On and as of the Initial Borrowing Date, the Agents and the Required Banks shall be satisfied with the amount of and the terms and conditions of all Indebtedness to Remain Outstanding.

  • Payment of Outstanding Indebtedness, etc The Administrative Agent shall have received evidence that immediately after the making of the Loans on the Closing Date, all Indebtedness under the Existing Credit Agreement and any other Indebtedness not permitted by Section 7.04, together with all interest, all payment premiums and all other amounts due and payable with respect thereto, shall be paid in full from the proceeds of the initial Credit Event, and the commitments in respect of such Indebtedness shall be permanently terminated, and all Liens securing payment of any such Indebtedness shall be released and the Administrative Agent shall have received all payoff and release letters, Uniform Commercial Code Form UCC-3 termination statements or other instruments or agreements as may be suitable or appropriate in connection with the release of any such Liens.
