Host Customer. The related Solar Services Agreement was (or in the case of a New Construction Solar Asset (Non-Identified Customer), will be) either originated or acquired by the Parent or SunStreet in the ordinary course of business and, other than with respect to Solar Assets originated by SunStreet prior to May 6, 2021, in accordance with the applicable Underwriting and Reassignment Credit Policy.

Host Customer. Host Customer agrees to pay System Owner for the reasonable costs and expenses directly relating to the breach of any representation, warranty, or covenant of Host Customer hereunder. Host Customer further agrees to pay for the reasonable costs and expenses of any repairs to or loss of the System, to the extent resulting from negligence or intentional misconduct of Host Customer or any of its contractors, agents, tenants, employees, partners, affiliates or invitees, or the failure of Host Customer to reasonably protect the System from trespass or other unauthorized access as provided herein.

Host Customer. At Seller's reasonable request, and subject to Applicable Legal Requirements, Buyer shall promptly take any action and execute any documents, as required, to designate Buyer as the LDC customer of record for the LDC Metering Devices serving one or more of the Facilities and otherwise establish Buyer as the Host Customer for such Facility or Facilities for purposes of the Net Metering Rules. Such designation shall in no manner whatsoever relieve the Seller of its obligations under this Agreement, including Section 3.3, with respect to Interconnection Obligations. Seller shall prepare any such documents, including the LDC's net metering service application(s) (the "Schedule Z(s)"), and Buyer shall reasonably cooperate fully with Seller's preparation of such documents. Further, Seller shall prepare an application with appropriate supporting documents for a Cap Allocation for the Project, and Buyer shall reasonably cooperate fully with Seller’s preparation of such documents.
Host Customer. Customer satisfies all criteria of Vivint’s Credit Underwriting Policy at the time or origination.

  • Contact with Customers and Suppliers Until the Closing Date, the Buyer shall not, and shall cause its Affiliates and direct its other Representatives not to, contact or communicate with the employees, customers, suppliers, distributors or licensors of the Acquired Entities, or any other Persons having a business relationship with the Acquired Entities, concerning the transactions contemplated hereby or any of the foregoing relationships without the prior written consent of the Seller.
