Grant Documents. The Grant Documents, the consummation of the transactions therein contemplated, and the compliance with all of the provisions thereof are the valid, legal, binding, and enforceable obligations of the Recipient. The officials of the Recipient executing the Grant Documents are fully authorized and empowered by all necessary and appropriate official action on the part of the governing body of the Recipient to execute the Grant Documents on behalf of the Recipient.
Grant Documents. Grantee has access to professional advice to the extent necessary to enable Grantee to comply with the terms of the Grant Documents.

Grant Documents. All materials and documents created for this project shall become the property of the Village of Croton-on-Xxxxxx and can be used by the Village throughout the term of the grant and after the grant is over or in the event of any termination of the grant, provided that the Village will use said documents and materials solely for this grant that is the subject of this Agreement. Upon any termination or at the end of the grant, the Village shall have the exclusive right to request copies of all documents from C.T. MALE ASSOCIATES and shall have use over any and all documents created for the grant or used during the grant, again, provided that the Village will use said documents and materials solely for this grant that is the subject of this Agreement. No such materials created for the use of this grant on behalf of the Village of Croton-on-Xxxxxx shall be considered proprietary material.
Grant Documents. The documents described below are hereinafter collectively referred to as the “Grant Documents.” In the case of conflict between any of these documents, each shall have priority over all others in the order listed below. Upon execution and delivery of this Agreement, it and the other Grant Documents and items required hereunder will constitute a valid and binding agreement (“Grant Agreement” or “Contract”) between the Parties, enforceable in accordance with the terms thereof. The Grant Agreement constitutes the entire agreement between the Parties, superseding all prior oral and written statements or agreements. Only changes deemed non-material in type at the discretion of the Fund’s Executive Director may be made to the Grant Agreement without the consent of the Fund’s Board of Trustees.
