Established securities markets. Each Member hereby represents and warrants to the Company and to all of the other Members that such Member has not acquired nor will such Member Transfer any Interest in the Company (including any right to or attribute of such Interest, or right to or in the capital, profits or distributions of the Company), or cause any Interest in the Company (including any right to or attribute of such Interest, or right to or in the capital, profits or distributions of the Company), to be marketed on or through an "established securities market" or a "secondary market (or the substantial equivalent thereof)" within the meaning of section 7704(b) of the Code or the Regulations thereunder, including, without limitation, an over-the-counter market or an interdealer quotation system that regularly disseminates firm buy or sell quotations.
