Enforceability Exceptions. “Enforceability Exceptions” shall mean: (a) legal limitations on enforceability arising from applicable bankruptcy and other similar Legal Requirements affecting the rights of creditors generally; (b) legal limitations on enforceability arising from rules of law governing specific performance, injunctive relief and other equitable remedies; and (c) legal limitations on the enforceability of provisions requiring indemnification against liabilities under securities laws in connection with the offering, sale or issuance of securities.

Neither the Company or, if applicable, a Subsidiary of the Company, nor, to the Knowledge of the Seller Parties, any other party to any such Material Contract is in material default, breach or violation of any Material Contract and no party has given written notice to the Company, and Subsidiary or any Seller Party of any material default, breach or violation. Neither the Company nor any of its Subsidiaries has received written or, to the Knowledge of the Seller Parties, oral notice of cancellation of any Material Contract, and, except as set forth in Section 3.7(b) of the Seller Disclosure Schedule, the Material Contracts do not contain any provision that would allow any party to a Material Contract to (i) terminate the agreement, or (ii) increase any amount payable thereunder, in each case as a result solely of the consummation of the transactions contemplated by this Agreement. 3.8
